About the role

Our client in the real estate development space is seeking an experienced General Counsel to join their executive team during a pivotal phase of growth. With a flagship entertainment and tourism complex currently under development, the organization requires a seasoned legal leader capable of navigating the complex intersection of real estate, construction, intellectual property, and corporate law.

The successful candidate will operate as a trusted advisor to ownership and senior leadership, shaping legal strategy from the ground up and embedding strong governance practices into a rapidly evolving business. This role offers a unique opportunity to influence the legal foundation of a multi-generational destination project from inception through opening and beyond.

Reporting directly to the Founder and CEO, the General Counsel will safeguard the organization's interests and enable confident, well-informed decision-making at every stage of the project.

Key Responsibilities

Serve as the primary legal advisor to the CEO and executive leadership team on all legal matters affecting the organization. Provide counsel on corporate governance, risk management, contractual obligations, and regulatory compliance across federal, Tennessee state, and Shelby County jurisdictions.

Draft, review, and negotiate construction contracts, including agreements with architectural firms, general contractors, exhibit planning agencies, and specialist consultants. Oversee contract administration, change orders, and dispute resolution throughout the construction lifecycle.

Lead all matters related to the licensing of entertainment properties, themed attractions, and intellectual property to be featured within the complex. Negotiate licensing agreements with content owners, brand partners, and creative collaborators, ensuring favorable terms and long-term protection of the organization's interests.

Manage relationships with outside counsel across specialty areas including real estate, construction, employment, intellectual property, and corporate finance. Coordinate legal strategy and oversee external legal spend to ensure cost-effective, high-quality counsel.

Advise on investor agreements, capital raise documentation, and securities compliance matters. Support ongoing investor relations activities with appropriate legal documentation and disclosures.

Oversee permitting, zoning, and entitlement matters, including municipal agreements, environmental compliance, and certificate of occupancy documentation. Advise on employment law matters, including policy development, employee agreements, and compliance with applicable labor laws.

Develop and maintain corporate policies, governance documents, and internal compliance frameworks appropriate for a growing organization. Manage all litigation, claims, and regulatory inquiries that may arise.

Early Priorities (First 90–180 Days)

Conduct a comprehensive review of all existing contracts, vendor agreements, and corporate documentation. Establish standardized contract templates and legal review processes. Advance licensing negotiations with key entertainment and IP partners. Build a network of trusted outside counsel relationships across specialty practice areas.

Requirements

  • Minimum of 10 years' experience practicing law, with significant experience in real estate development, construction, or commercial transactions
  • At least 5 years in a senior in-house counsel role or as a partner-level attorney serving development, hospitality, or entertainment clients
  • Juris Doctor (JD) from an accredited law school; active license to practice law in Tennessee, or ability to obtain Tennessee bar admission
  • Demonstrated experience drafting and negotiating complex commercial contracts, including construction agreements, licensing deals, and vendor contracts
  • Strong working knowledge of real estate law, land use and zoning, construction law, and intellectual property licensing
  • Experience advising on capital raises, investor agreements, and securities compliance
  • Excellent negotiation, drafting, and analytical skills
  • Strong communication skills with the ability to translate complex legal matters for executive audiences
  • Self-starter comfortable building a legal function in a lean, high-accountability environment
  • Must be able to work on-site at the company's East Memphis offices; this role is not remote-eligible

Preferred Qualifications

  • Prior in-house experience at a real estate development firm, hospitality company, or entertainment venue operator
  • Background in entertainment law or IP licensing involving themed attractions, branded content, or experiential venues
  • Familiarity with Shelby County and greater Memphis municipal processes and local legal community
  • Experience supporting an organization through a major development project or capital raise

$190,000 – $240,000 per annum, commensurate with experience.
