This role will oversee corporate governance, commercial contracts, compliance, regulatory affairs, intellectual property, litigation management, and legal policy alignment across departments. The role also includes acting as Chief Compliance Officer and managing external counsel.Key Responsibilities Advise executive leadership on legal, governance, and regulatory mattersServe as Corporate Secretary and support board activitiesDevelop and enforce company-wide compliance and ethics policiesOversee international trade control and FCPA compliance programsDraft and negotiate commercial contracts including NDAs, vendor agreements, distributor and sales rep contractsCollaborate on IP strategy, including trademarks and R&D agreementsProvide legal support for IT and data privacy initiativesManage litigation and claims with external counselLiaise with legal teams of parent entity to align corporate policiesLead legal due diligence and contract support for M&A activityQualifications JD degree with active bar membership10+ years of relevant legal experience, including in-house counsel experienceStrong understanding of corporate governance, compliance, regulatory and commercial contract lawDemonstrated experience working cross-functionally with executive teamsExperience with litigation management and intellectual property mattersExcellent judgment, integrity, and ability to balance legal risk with business needs#J-18808-Ljbffr
