Job DetailsReporting to the President, the General Counsel serves as a key business partner and leads legal strategy across a multi-entity real estate development, hospitality, and gaming portfolio. This role oversees complex real estate transactions, financing, development/construction legalities, employment matters, and corporate governance while managing outside counsel and mitigating risk.
Key Responsibilities:
- Real Estate & Financing: Lead acquisitions, dispositions, joint ventures, and project development from term sheet to closing. Structure, negotiate, and draft construction loans, acquisition financing, mezzanine/preferred equity, JV agreements, and leases. Oversee due diligence, title/survey, zoning, and lender compliance.
- Development & Construction: Draft and negotiate AIA/design agreements, construction contracts, and consultant agreements. Support the in-house construction team on risk, claims, liens, and dispute resolution. Coordinate municipal permits, licensing, and land use.
- Labor & Employment: Advise HR and executive leadership on compliance, workplace investigations, separations, restrictive covenants, and workforce actions (e.g., WARN Act). Manage employment claims and policy updates across portfolio entities.
- Corporate & Risk Management: Maintain entity structures and corporate records. Draft vendor agreements, NDAs, and hospitality management contracts. Advise on risk mitigation, regulatory compliance, and gaming/hospitality licensing.
- Legal Leadership: Direct litigation strategy, manage outside counsel and legal budgets, build in-house legal operations, and serve as a trusted advisor to senior leadership.
Qualifications:
- Education & Bar: JD from an accredited law school. Active member of the Florida Bar (or eligible/willing to obtain Authorized House Counsel certification).
- Experience: 12+ years of legal experience with a top-tier law firm and/or in-house with a real estate developer, owner, or investor.
- Real Estate Expertise: Deep experience structuring, negotiating, and closing complex real estate transactions, debt/equity financings, and JV agreements.
- Workforce & Litigation: Practical knowledge of employment law and proven track record managing outside counsel and budgets.
Preferred Qualifications:
- Experience with luxury hospitality, mixed-use/condo developments, or construction law (AIA/ConsensusDocs).
- Exposure to gaming, liquor, or hospitality licensing and regulatory compliance.
- Prior General Counsel or Deputy GC experience in a privately held, fast-paced environment.
