X-Force is seeking an experienced Government Contracts Counsel to provide hands-on legal and strategic support as our government contracting and defense business continues to grow.

This is not intended to be a traditional outside-counsel relationship. We are looking for an experienced attorney who can become deeply familiar with our business, contracts, customers, partnerships, and risk profile and serve as a trusted legal resource to company leadership.

The position will initially require approximately 10–15 hours per week, with the potential to expand as the company grows.

The right person will do more than identify legal risks. We want someone commercially minded who can help us determine how to structure agreements, negotiate better terms, protect the company, and accomplish our business objectives within the rules governing federal contracting.
What You'll Do
  • Review, draft, revise, and negotiate commercial and government-related contracts, subcontracts, teaming agreements, NDAs, consulting agreements, staffing agreements, SOWs, and other business agreements.
  • Advise leadership on contractual obligations, risks, liabilities, flow-down requirements, and negotiation strategy.
  • Support contracts associated with federal government customers, prime contractors, subcontractors, and defense-industry partners.
  • Review FAR/DFARS provisions and help determine their applicability and practical impact on the company.
  • Identify problematic contract language before agreements are executed and recommend practical alternatives.
  • Help structure agreements and business relationships in ways that protect X-Force while supporting growth and profitability.
  • Advise on subcontractor and prime-contractor relationships, including teaming arrangements and workshare considerations.
  • Support contract modifications, disputes, terminations, payment issues, performance concerns, and other contractual matters as they arise.
  • Work with company leadership and compliance personnel to ensure contractual commitments align with regulatory and operational requirements.
  • Develop and improve contract templates, review procedures, approval thresholds, and contract-management practices.
  • Maintain visibility into significant contractual obligations, renewal dates, notice requirements, and areas of exposure.
  • Coordinate with specialized outside counsel when an issue requires expertise beyond the scope of the position.
What We're Looking For
  • Juris Doctor (JD) and active license to practice law in at least one U.S. jurisdiction.
  • Significant professional experience reviewing and negotiating contracts.
  • Experience with federal government contracting, preferably within the defense, aerospace, technology, professional services, engineering, or government-services industries.
  • Working knowledge of FAR and DFARS and federal subcontracting environments.
  • Experience representing or working with small and/or mid-sized government contractors is strongly preferred.
  • Ability to translate legal issues into clear business recommendations.
  • Strong contract drafting and negotiation skills.
  • Comfortable operating independently without the infrastructure of a large corporate legal department.
  • High degree of discretion and professionalism when handling confidential, financial, personnel, contractual, and strategic company information.
  • Practical and commercially minded approach to legal issues.
The Person We're Looking For
We are not looking for someone whose default answer is simply "no."

We want an attorney who can identify the risk, explain it clearly, and then help us determine the best way to accomplish the underlying business objective.

A strong candidate will be comfortable saying:

"Here is the risk. Here is what the contract currently requires. Here are our options. And here is the approach I recommend."

This individual should be curious about the business and willing to understand how X-Force actually operates—not simply review agreements in isolation.

Structure
  • Approximately 10–15 hours per week initially.

  • Primarily remote, with occasional meetings as needed.

  • Opportunity for the position to expand in scope and hours as X-Force grows.
Success in This Role
Success will not simply be measured by the number of contracts reviewed.

The goal is to create a legal and contracting capability that allows X-Force leadership to make decisions faster and with greater confidence, while reducing contractual exposure and improving the company's ability to pursue, negotiate, and execute profitable government business.

Ultimately, this person should allow the CEO to offload day-to-day contract review and contractual problem-solving while retaining visibility into the decisions that truly require executive involvement.
