    Job Description:
    The GWIM Investment Stewardship Executive serves as a senior leader within the GWIM Investment Stewardship function, responsible for advancing the firm's proxy voting, fiduciary stewardship, issuer engagement, and governance programs across Global Wealth & Investment Management.

    The role acts as a key advisor to the Head of GWIM Investment Stewardship and provides subject matter leadership on complex proxy voting matters, stewardship policy development, shareholder engagement, and regulatory developments impacting stewardship activities. The executive will lead analysis and recommendations related to significant voting matters, governance trends, fiduciary issues, and stewardship engagements while helping ensure consistency across Broker/Dealer, RIA, and fiduciary platforms.

    Responsibilities:

    • Serve as a senior subject matter expert on proxy voting, corporate governance, fiduciary stewardship, and shareholder engagement matters.
    • Lead analysis and recommendations for complex or high-profile proxy voting matters.
    • Develop and maintain proxy voting guidelines, stewardship standards, governance frameworks, and related policies.
    • Lead issuer, board, shareholder, and governance-related engagement activities on stewardship matters.
    • Monitor emerging governance, regulatory, market, and stewardship trends and assess implications for GWIM.
    • Support stewardship recommendations presented to the GWIM Fiduciary Proxy Oversight Committee.
    • Coordinate cross-jurisdictional stewardship policy initiatives and governance programs.
    • Conduct fiduciary and governance research to support policy development and voting decisions.
      Partner with Legal, Compliance, Risk, Product, Operations, and business leaders on stewardship-related matters.
    • Assist in the development of stewardship reports, governance materials, committee presentations, and executive communications.
    • Support regulatory examinations, audits, inquiries, and governance reviews.
    • Contribute to stewardship modernization efforts, including technology enhancements, analytics, reporting, and AI governance initiatives.
    • Assist the Head of GWIM Investment Stewardship in shaping long-term stewardship strategy and capability development.
    • Serve as secretary of the GWIM Fiduciary Proxy Oversight Committee, presenting policy recommendations and voting rationales for contested and complex votes. 
    • Conduct post-vote analysis to confirm votes match approved guidelines and that any deviations are intentional and well-supported. 
    • Maintain fiduciary voting principles, conflict-of-interest controls, and governance safeguards across fiduciary and RIA discretionary accounts. 
    • Develop stewardship content for RFPs, client inquiries, and external positioning, including voting rationale and engagement outcomes.

    Required skills:

    • 10+ years of experience in investment stewardship, proxy voting, corporate governance, asset management, fiduciary administration, investment products, risk, legal, compliance, or related financial services disciplines.
    • Strong knowledge of proxy voting processes, fiduciary obligations, governance principles, and stewardship practices.
    • Experience analyzing complex governance, shareholder, regulatory, or fiduciary matters.
    • Demonstrated ability to influence cross-functional stakeholders and senior business leaders.
    • Strong communication, presentation, research, and analytical skills.
    • Experience developing policies, governance standards, position papers, or committee materials.
    • Ability to manage multiple complex initiatives simultaneously within a highly regulated environment.

    Desired Skills:

    • Direct experience with proxy voting governance, stewardship programs, issuer engagement, or shareholder engagement.
    • Knowledge of OCC, SEC, ERISA, and investment adviser regulatory requirements.
    • Experience supporting governance committees, fiduciary committees, or risk oversight forums.
    • Experience working with proxy advisory firms, governance research providers, or stewardship data platforms.
    • Experience developing stewardship reporting, dashboards, regulatory materials, or executive-level governance content.
    • Advanced knowledge of governance best practices and emerging stewardship trends.

    Pay and benefits information

    Pay range

    $200,000.00 - $280,000.00 annualized salary, offers to be determined based on experience, education and skill set.

    Discretionary incentive eligible

    This role is eligible to participate in the annual discretionary plan. Employees are eligible for an annual discretionary award based on their overall individual performance results and behaviors, the performance and contributions of their line of business and/or group; and the overall success of the Company.
