Summary
We are seeking an experienced HR M&A Project Manager / Lead to lead the assigned HR projects across acquisitions, divestitures, joint ventures, restructurings, and other strategic initiatives. This role will have end-to-end ownership of assigned projects from due diligence and planning through execution, integration, or separation. The position will coordinate HR functions, cross-functional stakeholders, and external advisors while managing people-related risks, workforce transitions, HR implementation, employee experience, and change activities. The ideal candidate is a strong project leader with extensive HR M&A experience who can manage multiple complex projects in a fast-paced, international, and matrixed environment.
Responsibilities
- Independently lead and deliver assigned HR M&A and corporate projects from due diligence and planning through execution, integration, or separation.
- Manage multiple projects simultaneously, balancing priorities, resources, timelines, risks, issues, and dependencies.
- Develop and maintain comprehensive project plans, milestones, budgets, resources, risks, and dependencies.
- Coordinate HR functional teams, cross-functional stakeholders, and external advisors to ensure integrated and timely project delivery.
- Lead HR due diligence and assess people-related risks, liabilities, costs, workforce implications, and potential impacts.
- Develop and execute HR integration, separation, restructuring, and change plans.
- Lead workforce transition activities involving HR services, HRIS, payroll, benefits, talent, communications, and employee experience.
- Partner with Corporate M&A, Strategy, Finance, Legal, IT, business leaders, and HR teams to align HR execution with transaction and business objectives.
- Build strong relationships with internal and external stakeholders and facilitate alignment and resolution of complex issues.
- Support transaction activities, including negotiations, TSA development, cost analysis, and relevant documentation.
- Ensure appropriate management of labor law, regulatory, works council/union, and employee communication requirements.
- Support negotiations and engagement with unions and works councils during restructurings, divestitures, and integrations.
- Provide regular updates on project progress, risks, issues, dependencies, and recommendations to HR M&A leadership and governance forums.
- Serve as the day-to-day HR point of contact for assigned projects and escalate significant risks, issues, and decisions when required.
- Translate transaction and deal strategy into practical HR execution plans.
- Build and maintain project plans covering workforce transition, communications, employee experience continuity, and regulatory compliance.
- Contribute to the continuous improvement of HR M&A processes, standards, and ways of working.
- Work effectively with HR leadership teams, Corporate M&A, Legal, Finance, IT, business leaders, and other cross-functional partners.
Required Skills
- Bachelor's degree or equivalent experience required; preferred areas of study include Human Resources, Business Administration, Economics, Finance, or Taxation.
- 10+ years of professional experience, including significant hands-on experience leading HR teams through Mergers, Acquisitions, and/or Divestitures (M&A).
- Proven experience leading complex HR M&A projects in a consulting, project-driven, or multinational corporate environment; a management consulting or Big 4 professional services background is highly preferred.
- Strong experience across HR, Total Rewards, HR Operations, M&A, Project Management, and HR Systems.
- Demonstrated ability to translate M&A deal strategy into actionable HR execution plans, including workforce transitions, change management, employee experience, and HR implementation.
- Strong project management, planning, organization, prioritization, and execution skills, with the ability to manage multiple complex projects simultaneously.
- Excellent analytical, financial, problem-solving, communication, presentation, facilitation, and stakeholder management skills.
- Strong business acumen with commercial and strategic thinking and the ability to analyze complex information and communicate it clearly and concisely.
- Proven ability to build credibility and trusted relationships with senior leadership, cross-functional teams, vendors, external advisors, and other stakeholders.
- Strong experience working independently with minimal supervision and operating effectively as a trusted advisor and subject matter expert.
- Experience working in complex, matrixed, international organizations and across multiple cultures.
- Strong Microsoft Excel, reporting, and PowerPoint skills, with the ability to develop clear, concise, and well-organized presentations and business materials.
- Experience supporting union and works council negotiations and engagement.
- Strong judgment and discretion when handling confidential and sensitive information.
- Ability to thrive in ambiguous, fast-paced environments while managing competing priorities and multiple simultaneous projects.
- Self-starter with strong resilience, adaptability, work ethic, and time-management skills.
- English proficiency is mandatory; German proficiency is highly preferred.
