Position
Seeking a top-performing mid-senior level attorney for private credit, debt, and equity finance, and other corporate transactional work. Extensive transactional experience with middle-market private debt and equity transactions, with a focus on lender or sponsor representation, is strongly preferred. Candidate must have excellent drafting, negotiation, issue spotting, and analytical skills.
Desired Skills and Experience
The ideal candidate will have a JD degree from a top accredited U.S. law school with strong academic credentials and a minimum of 5 years of relevant experience at a top-tier law firm or in-house legal department.
Key Responsibilities
- Structuring, negotiating, and executing a broad array of financing and buyout transactions, including middle-market sponsor-led acquisition financings, loans, and equity
- Leading and advising deal teams through all phases of the transaction lifecycle, including origination, documentation, negotiation, closings, amendments, restructurings, and exits
- Drafting, reviewing, and negotiating early-stage loan and equity documentation, including term sheets, commitment letters, IOIs, and LOIs
- Drafting, reviewing, and negotiating complex loan and security documentation, such as credit agreements, security documents, intercreditor and subordination agreements, guaranties, and other transactional documents
- Advising on multi-lender loan syndications, liability management transactions, LMEs, unitranche FOLO structures, and other syndicated loan market terms
- Leading and advising deal teams on corporate governance and corporate transactional matters relating to Prospects controlled portfolio companies and other portfolio investments, including buyouts, mergers & acquisitions, asset dispositions, workouts, and restructurings
- Managing multiple transactional matters simultaneously in a fast-paced environment
- Coordinate and supervise outside counsel, including management of legal costs

Compensation and Benefits
The anticipated base salary range for this position is $250,000 - $300,000, plus an annual discretionary performance-based bonus. Actual pay may be adjusted based on experience and performance.
