The firm is seeking a mid-level Intellectual Property Transactional Associate with experience negotiating commercial agreements, technology transactions, patent acquisitions, licensing agreements, and IP-focused corporate transactions. You'll work alongside nationally recognized attorneys on sophisticated mergers and acquisitions, financing transactions, and strategic commercial deals while advising clients on maximizing and protecting valuable intellectual property assets.

WHAT YOU'LL DO

  • Structure, draft, and negotiate sophisticated intellectual property agreements, including licensing, patent acquisitions, technology transfers, joint development agreements, and commercial contracts.
  • Lead and support intellectual property due diligence for mergers, acquisitions, financings, and other strategic corporate transactions.
  • Advise clients on intellectual property ownership, commercialization, licensing, and risk management.
  • Draft and negotiate technology, software, confidentiality, and other complex commercial agreements.
  • Collaborate with Corporate, Finance, Regulatory, and other practice groups on integrated transactions.
  • Counsel clients throughout all phases of IP-driven corporate and financial services transactions.
  • Manage multiple sophisticated client matters while maintaining exceptional responsiveness and attention to detail.
  • Build trusted client relationships and contribute to continued practice growth.

WHAT MAKES YOU A GREAT FIT

  • Juris Doctor (J.D.) from an accredited U.S. law school.
  • At least 3 years of experience focused on intellectual property transactional law.
  • Significant experience negotiating commercial contracts, licensing agreements, and IP transactions.
  • Experience supporting mergers and acquisitions and/or financial services transactions.
  • Excellent drafting, negotiation, analytical, and client counseling skills.
  • Strong understanding of intellectual property strategy within corporate transactions.
  • Licensed in North Carolina or eligible for admission.

Preferred

  • Graduate of a Top 50 U.S. law school.
  • Experience practicing at an Am Law 200 firm.
  • Attorneys from highly respected regional firms handling sophisticated transactional matters are encouraged to apply.
  • Experience with patent acquisitions, technology transfers, software licensing, and complex commercial agreements.
  • Financial services industry experience.
  • Ability to independently manage sophisticated transactional matters while collaborating across multiple practice groups.
