A premier global law firm is seeking an Investment Funds Associate Attorney to join its Washington, DC office.
This opportunity is ideal for an attorney interested in representing private equity sponsors, venture capital funds, hedge funds, institutional investors, and asset managers in sophisticated fund formation and investment transactions.
• 3–6 years of investment funds, private equity, or corporate transactional experience gained at a sophisticated law firm
• Experience representing private equity sponsors, venture capital funds, hedge funds, real estate funds, credit funds, institutional investors, and asset managers
• Experience handling the formation, structuring, organization, and operation of private investment funds
• Experience drafting and negotiating limited partnership agreements, limited liability company agreements, subscription agreements, side letters, management agreements, carried interest arrangements, and related fund documentation
• Experience advising fund sponsors regarding fund governance, regulatory compliance, investor negotiations, and ongoing operational matters
• Experience supporting secondary transactions, co-investments, continuation funds, GP-led transactions, and strategic investments is a plus
• Strong drafting, negotiation, analytical, organizational, and communication skills
• Ability to independently manage sophisticated transactions while maintaining significant client interaction
• Excellent academic credentials
• J.D. from an ABA-accredited law school required
• DC bar admission required or ability to become admitted
