The ideal candidate thrives in a fast-paced environment and possesses the versatility to handle both general corporate matters and the real estate components that often accompany middle‑market transactions.Key ResponsibilitiesMerger & Acquisition/Business Transactions: Lead drafting and negotiation of asset/stock purchase agreements, merger agreements, and divestitures for a diverse client base.Corporate Governance: Advise boards and executives on compliance issues and assist with drafting and interpreting company policies.Commercial Contracts: Act as outside general counsel for clients, reviewing and negotiating nosiness contracts, licensing agreements, and vendor contracts.Business / Entity Setup: Advise clients and business owners on the choice of entity, entity formation and structure, and drafting operating agreements, codes of regulations, by‑laws, and resolutions.Real Estate Integration: Support real estate aspects of corporate transactions, including commercial lease reviews and due diligence, in conjunction with the firm's real estate attorneys.Client Leadership: Serve as a point of contact for business owners, providing pragmatic legal advice that aligns with their goals.Qualifications & SkillsExperience: 5–7+ years of dedicated practice in corporate and business law.Education: J.D. from an accredited law school with a strong academic record.Licensure: Active and licensed member in good standing with the Ohio State Bar.Real Estate Exposure: Functional knowledge of commercial real estate transactions preferred.Soft Skills: Exceptional drafting precision, a "client-first" mentality, and the ability to work in a team-focused and collaborative environment.Candidates must have demonstrated interpersonal and marketing acumen.
