We are seeking a highly skilled and experienced Permanent Lateral Attorney to join our dynamic legal team. The successful candidate will be responsible for handling a broad range of corporate and transactional matters, including negotiations, drafting and reviewing stock and asset purchase agreements, and merger agreements. This role presents an exciting opportunity to work with a diverse portfolio of clients ranging from startups to established corporations, providing legal guidance and expertise in various areas such as private equity, mergers and acquisitions, and corporate finance.

Responsibilities

1. Drafting, reviewing, and negotiating a broad range of commercial agreements, including stock and asset purchase agreements, merger agreements, and other corporate documents.
2. Providing legal advice on a wide range of corporate matters, including private equity, corporate governance, and compliance with state and federal laws and regulations.
3. Collaborating with other members of the legal team to develop and implement legal strategies that align with the company's business objectives.
4. Conducting comprehensive legal research and analysis to support decision-making and advise on potential legal risks.
5. Representing the company in legal proceedings, if necessary.
6. Building and maintaining strong relationships with clients, understanding their business needs, and providing tailored legal advice.
7. Staying updated with current laws and regulations within the legal industry and ensuring the company's compliance.

Qualifications

1. Juris Doctorate degree from an accredited law school.
2. A minimum of 5 years of experience in a similar role, preferably within a law firm or corporate legal department.
3. Admission to the state bar.
4. Extensive experience with negotiations, drafting and reviewing stock and asset purchase agreements, and merger agreements.
5. Proven track record in private equity transactions.
6. Excellent legal research and writing skills.
7. Strong interpersonal and communication skills, with the ability to interact effectively with clients and team members at all levels.
8. High level of professionalism and ethical standards.
9. Ability to work independently, manage multiple projects simultaneously, and meet tight deadlines.
10. Strong analytical and problem-solving skills, with a proactive approach to identifying and resolving legal issues.
11. Proficiency in legal research tools and software.
