    Corporate Associate Attorney – Life Sciences

    Location: Boston, MA; Philadelphia, PA; San Francisco, CA; Los Angeles, CA

    Experience Level: 2–4 Years

    An AmLaw 50 firm is seeking a mid-level Associate to join its Life Sciences team. This nationally recognized practice represents innovative life sciences, healthcare, and technology companies at every stage of growth, advising venture-backed private and public companies on sophisticated corporate transactions throughout their business lifecycle.

    The ideal candidate will have experience handling a broad range of corporate and transactional matters, strong drafting and organizational skills, and the ability to manage significant portions of complex transactions while collaborating with clients and colleagues in a fast-paced, team-oriented environment.

    Key Responsibilities

    • Represent venture-backed private and public life sciences, healthcare, and technology companies in a variety of corporate transactions throughout the business lifecycle.

    • Advise clients on equity financings, public offerings, mergers and acquisitions, SEC reporting and compliance, and corporate governance matters.

    • Draft, review, and negotiate transaction documents and corporate governance materials.

    • Conduct legal due diligence and assist in managing transaction execution from inception through closing.

    • Collaborate closely with partners, associates, and specialists to deliver practical, business-focused legal advice to innovative growth companies.

    • Develop long-term client relationships while working on sophisticated transactions within the life sciences sector.

    Qualifications

    • 2–4 years of corporate transactional experience at a law firm.

    • Experience with public company matters, registered equity offerings, ongoing SEC reporting, mergers and acquisitions, and general corporate governance.

    • Experience representing life sciences companies is preferred.

    • Prior experience representing venture-backed companies is preferred.

    • Strong academic credentials, legal research and drafting abilities, and excellent written and verbal communication skills.

    • Ability to manage multiple transactions simultaneously while working both independently and collaboratively.

    • J.D. from an ABA-accredited law school.

    • Admission to the bar (or eligibility for prompt admission) in the applicable office jurisdiction.
