About the Position
Support the CRE originations team by leading and coordinating the transaction closing process from executed term sheet through closing and post-closing transition. This role serves as the central process driver across diligence, documentation, third-party workstreams, closing economics, funding mechanics, and stakeholder coordination to ensure commercial real estate debt and equity transactions close accurately, efficiently, and on schedule.
Responsibilities
Process Ownership & Coordination
- Run the closing process from start to finish once a term sheet is signed, serving as the central process driver across all workstreams.
- Draft and continuously maintain the due diligence checklist as the operational tracker for ownership, status, notes, document location, critical path items, and weekly action updates.
- Send kickoff email packages and process instructions to sponsor/borrower teams, including data room access requirements and upload conventions.
- Facilitate weekly checklist calls and produce internal weekly Closing Notes covering top blockers, decisions needed, and critical path actions.
Diligence & Third-Party Management
- Launch and track third-party engagements, including title/survey, insurance, construction/PCA, environmental, appraisal, zoning, tax, and specialty reports, with scope, reliance language, and delivery dates.
- Review third-party deliverables in partnership with the originations team to identify risks, confirm completeness, and ensure material findings are addressed through documentation, structure, reserves, or other mitigants.
- Track and collect all borrower pre-closing deliverables, ensuring documents are dated, signed, finalized, and maintained with complete file documentation, approvals, and external counsel signoffs.
Insurance Leadership
- Coordinate insurance review by introducing the borrower's broker to the firm's insurance consultant, facilitating internal signoffs, and confirming binding and final documentation are in place for closing.
Background Checks & KYC
- Coordinate background checks and KYC/compliance-related closing items with internal control functions, tracking completion ahead of closing.
Closing Economics
- Maintain the deal budget workbook covering project line items, closing costs, required reserves, contingencies, third-party fees, and equity reconciliation for costs spent to date.
- Build the sources and uses closing statement, ensure the escrow settlement statement ties out, and confirm accuracy of fees, rates, payoffs, escrows, impounds, reserves, and related economics.
Cash Management & Funding
- Orchestrate cash management structure and account setup with sponsor accounting, treasury, servicers, and counsel, and confirm legal documents reflect the structure.
- Coordinate capital call readiness, wire mechanics, authorized approvals, and rate cap or hedging requirements where applicable, ensuring premiums are integrated into sources and uses.
Post Closing Transition
- Support post-closing transition, including transition memos, Asset Management cash flow model support, servicer onboarding, custodian/note delivery, and management of trailing documents, recorded items, final policies, hedge documents, opinions, and ESG items.
- Track and collect all borrower post-closing deliverables, ensuring post-closing documents are dated, signed, finalized, and maintained with complete file documentation, approvals, and external counsel signoffs in accordance with loan documents.
- Coordinate closely with originations, legal, underwriting, accounting/treasury, servicing, operations, Asset Management, sponsors, borrowers, consultants, and external counsel, while helping identify process improvements to make closings more efficient.
Professional Experience
- Minimum 2 years of relevant experience in transaction or loan closing, debt originations support, capital markets, real estate legal functions, loan administration, transaction management, or similar roles.
- Direct experience closing commercial real estate debt and/or equity transactions, including managing due diligence checklists and critical path timelines from executed term sheet through closing.
- Demonstrated experience engaging and coordinating third-party diligence providers, including title/survey, appraisal, environmental Phase I, property condition/construction, zoning, tax, and insurance, from scoping and engagement through deliverable review and reliance language.
- Experience with closing economics, including deal budgets, sources and uses, settlement statements, reserves and contingencies, third-party fees, and equity reconciliation.
- Exposure to loan documentation, organizational structure and guarantor review, cash management, funding mechanics, and compliance-related closing items strongly preferred.
- Legal experience preferred; client-facing experience working directly with sponsors, borrowers, counsel, and consultants preferred.
- Bachelor's degree required.
