Job Overview \u2013 M&A Tax Manager
We're seeking an experienced M&A Tax Manager with deep U.S. federal tax expertise to support transaction planning, due diligence, and complex restructuring initiatives.
Key Responsibilities:
Lead M&A tax due diligence and review target financial/tax data
Model acquisition structures and internal restructuring scenarios
Perform IRC \u00a7382 analyses and asset vs. stock acquisition comparisons
Calculate inside/outside basis for subsidiaries and partnerships
Support \u00a7332 liquidations, \u00a7351 contributions, and related computations
Prepare tax disclosures for completed transactions
Assist with federal return review and special projects
Conduct tax research and prepare technical memos
Requirements:
8+ years of U.S. M&A and federal tax experience (public accounting)
Strong Subchapter C knowledge; consolidated return experience a plus
Bachelor's in Accounting required; MST, CPA, or JD is a plus
Advanced Excel skills
Ability to manage multiple projects, work cross-functionally, and dive deep into details while keeping a strategic view
