We champion an inclusive culture and strive to attract and develop a talented workforce to create and deliver a wide range of content reflecting our world.Job DescriptionNBCUniversal is seeking a Manager, Corporate Legal Affairs (Corporate Secretary) to support corporate governance, legal entity management, and compliance for its U.S. and Canadian subsidiaries.This role sits within a high-impact Corporate Secretary team that serves as the central resource for legal entity formation, governance, and compliance across NBCUniversal's global portfolio of businesses.The ideal candidate will be a detail-oriented and collaborative professional who can manage a high volume of corporate governance activities, maintain data integrity across enterprise systems, and partner effectively with Legal, Tax, Finance, and external service providers.This role is ideal for a strong corporate paralegal or governance professional looking to step into a broader, enterprise-facing position with meaningful ownership over legal entity operations and governance.Corporate Governance & Secretarial SupportProvide corporate secretarial support for U.S. and Canadian entities, including:Drafting secretary certificates and corporate certificationsPreparing written consents, resolutions, and governance documentationMaintain corporate digital minute books, ensuring completeness and accuracyCoordinate with outside counsel on governance matters relating to Canadian entitiesLegal Entity Compliance & FilingsPrepare and file annual reports and other statutory filings to maintain entities in good standingTrack and manage compliance deadlines across a large portfolio of entitiesSupport regulatory filings and responses to governmental or compliance-related inquiriesProvide corporate support in connection with litigation, arbitration, and regulatory mattersLegal Entity Data & SystemsManage and maintain the corporate legal entity database, the enterprise system of record for legal entity dataEnsure timely and accurate updates to ownership, governance, and structural dataGenerate organizational charts and entity reports for internal stakeholdersPartner on system initiatives, including enhancements and data integrity effortsOversee billing and invoicing for key corporate secretarial vendors in coordination with global counterpartsReview and process filing expenses and vendor invoices to ensure timely paymentCross-Functional CollaborationServe as a key resource to Legal and business teams on matters relating to:Corporate governanceLegal entity structureExecution of corporate actionsSupport entity formations, restructurings, and dissolutions by coordinating required governance documentationAssist with corporate documentation required by internal stakeholders and external regulatorsScopePrimary responsibility for NBCUniversal's U.S. and Canadian legal entitiesWorks closely with global Corporate Secretary team members across Europe and other jurisdictionsQualificationsHere you'll need:4+ years of experience in corporate governance, corporate secretary, or legal entity managementStrong knowledge of U.S. corporate governance and compliance requirementsExperience managing corporate filings, minute books, and legal entity recordsExperience working with legal entity management systems preferredWhat we'll look for:Highly detail-oriented with strong organizational and project management skillsAbility to manage competing priorities in a fast-paced, global environmentThis position currently has a hybrid schedule, which requires contributing from the New York, NY or Universal City, CA office a minimum of four days per week.
