Job Description:

Work with the Global Transaction Tax team in providing practical tax advice to corporate and private equity buyers and sellers throughout the transaction life cycle supporting M&A, carve outs, investment and financing structures, disposition alternatives and post transaction activities. Develop and deliver quality tax planning approaches by providing timely and responsive services and work product that meet and exceed client expectations. Evaluate potential tax risks and opportunities by reviewing tax returns, financials, and other tax documentation. Draft client-ready reports summarizing tax issues and attributes identified during diligence. Communicate with insurance companies to finalize representations and warranty clauses for each consummated transaction. Model transaction scenarios to implement tax efficient transactions and capital structures, and prepare step-plans depicting transaction steps and tax consequences. Lead workstreams including creating and preserving relevant diligence work product and proactively respond to changes in workflow. Coordinate with state, local, and international tax team members, as well as financial and operational due diligence team members, to timely deliver highest quality integrated work product. Develop and manage client relationships by communicating and responding to client expectations, gathering data relevant to the engagement, and tailoring project deliverables accordingly. Communicate with insurance companies to finalize representations and warranties clauses for each consummated transaction. Guide, train, and mentor junior team members including reviewing their work product and providing constructive feedback on deliverable refinement. Coordinate with various external parties on the transactions and manage the tax due diligence process.

Minimum Requirements:

J.D. degree or foreign equivalent in any field and minimum 2 years of experience in any occupation involving federal and international tax structuring for M&A. Experience must include: working with tax compliance; performing accounting and financial reporting; supporting tax due diligence to assess target companies' historic tax profile, planning, tax examination, acquisition, disposition and filing history; identifying tax issues and evaluating tax attributes; reviewing tax aspects of financial models, purchase agreements, and structuring calculations; assisting with modeling transaction scenarios; performing research on tax concepts and issues; and drafting memoranda, reports, and preparing workpapers on federal and international tax matters.
