    Managing Director - Middle Market M&A Investment Banking

    Overview

    We are representing a well‑established, middle‑market advisory platform that is expanding its senior leadership team with the addition of a Managing Director. This role is designed for a senior investment banking professional who combines business development, hands‑on transaction execution, and team leadership.

    The platform sits at the intersection of investment banking and advisory, offering clients sell‑side and buy‑side M&A support, financial diligence, and strategic advisory solutions. The opportunity is best suited for an entrepreneurial MD who wants meaningful autonomy, consistent deal exposure, and long‑term economic upside.

    This is a hands‑on leadership role, not a coverage‑only or origination‑only seat.

    Key Responsibilities

    • Lead and execute buy‑side and sell‑side M&A engagements, including financial and business due diligence for corporates, private equity sponsors, and debt investors

    • Own the full transaction lifecycle, including:

    • Quality of earnings analysis

    • Working capital and cash flow assessments

    • Identification of transaction risks and liabilities

    • Review of transaction documents and support during negotiations

    • Drive business development through personal networks, referrals, and internal partnerships, with clear expectations around revenue generation

    • Serve as the lead professional on engagements and the primary client point of contact

    • Oversee and mentor VPs, Associates, and Analysts using an apprenticeship‑style leadership approach

    • Direct diligence meetings and review tailored diligence and advisory deliverables

    • Identify pre‑ and post‑close opportunities and help clients refine go‑to‑market and growth strategies

    • Collaborate closely with internal stakeholders across advisory, accounting, and tax where appropriate

    Ideal Candidate Profile

    • 10+ years of experience in investment banking or a comparable corporate finance environment

    • Background in middle‑market or boutique investment banking is strongly preferred

    • Demonstrated success originating and executing transactions, not purely one or the other

    • Deep familiarity with:

    • Financial diligence and QofE

    • Valuation methodologies

    • Working capital mechanics

    • Transaction structuring and negotiations

    • Proven experience managing and mentoring junior bankers (VP through Analyst level)

    • Comfortable operating in ambiguous, fast‑moving client situations

    • Entrepreneurial mindset with a focus on measurable revenue outcomes

    Credentials

    • Bachelor's degree in Accounting or Finance (required)
    • MBA (required)
    • FINRA Series 7 and 63 or Series 79 (or actively pursuing licensure)

    Additional Details

    • Role is in‑office (not remote)
    • Travel required for client meetings and events
    • Platform offers long‑term economic participation in addition to cash compensation
    • Compensation is competitive at the MD level, with base salary and performance‑based upside
