Managing Legal Counsel

Corporate Performance & ESG (Environmental, Social, and Governance) ("CP & ESG") is one of Wolters Kluwer's global operating divisions, serving customers worldwide with expert information, solutions, software, and services. CP & ESG offers technology‑enabled expert solutions to address financial performance, reporting, social responsibility management, environmental impact management, and corporate governance.

Wolters Kluwer's CP & ESG large enterprise software business seeks a Managing Counsel with software license and SaaS experience to support our TeamMate business unit globally and our CCH Tagetik and Corporate Tax software businesses in North America.

Hybrid Role

Must be able to attend meetings and/or conferences onsite as needed. Preferred office locations are New York, Chicago, Tampa, and Atlanta; we will consider candidates who reside near other Wolters Kluwer offices.

Responsibilities
  • Providing hands‑on legal assistance in structuring, drafting, negotiating, interpreting, managing, and enforcing complex and high‑value commercial transactions, including licensing and software arrangements (SaaS services, implementation agreements), master services agreements, statements of work, partner, reseller, and strategic alliance arrangements, and vendor and consulting agreements.
  • Working closely with and providing comprehensive legal counsel to management and sales leaders regarding corporate, commercial, and intellectual property matters impacting the businesses, including SaaS, on‑premise software license, professional services, strategic relationships, regulatory, compliance, and dispute matters.
  • Collaborating with CP & ESG management on contractual and regulatory exposures and risks related to new customer offerings or services, promotional and marketing activities, data protection, cybersecurity risks across various offerings and media, and international market expansion.
  • Developing strong rapport with local sales teams to deliver effective, high‑quality legal services aligned with business needs, promoting consistency of approach and standards across Wolters Kluwer units.
  • Building in‑depth knowledge of the businesses, technology, markets, products, customers, competitors, and regulatory environment to provide strategic legal/commercial advice.
  • Effectively managing outside counsel cost‑effectively, collaborating with GLCD attorneys, and overseeing the attorney supporting the TeamMate and Tagetik NA business lines.
Requirements
  • MUST hold a J.D. or equivalent law degree from an internationally recognized institution.
  • Minimum 8‑10 years of progressively responsible corporate/commercial legal experience, preferably including roles at a multinational law firm and an established corporate legal department.
  • Substantial experience drafting and negotiating sophisticated commercial contracts; strong knowledge of SaaS arrangements, software, e‑commerce transactions; experience with financial products and data privacy/protection preferred.
  • Stellar academic and work credentials; outstanding communication, interpersonal, and leadership skills; ability to translate complex legal concepts into clear business terms for non‑legal audiences.
  • Proven history of influencing senior management in entrepreneurial organizations, with intellectual rigor, confidence, and maturity.
  • Experience conducting negotiations in a global, matrixed environment, managing urgent priorities from multiple stakeholders.
  • Ability to lead and manage direct reports.
  • Capacity to work under pressure, meet deadlines, juggle multiple projects, and adapt to change.
  • Unquestioned integrity and ethics; scrupulous respect for confidentiality.
  • Confidence to push for change and appropriately challenge the status quo.
Compensation

Salary range: $132,400.00 – $236,550.00 USD (base). The role is eligible for bonus.

Compensation is based on the primary location of the position and may vary by skill, experience, and hiring location. Recruiters can provide more detailed offer information during the hiring process.
