Mid-Level Corporate Associate Attorney

Position Summary:

\n

We are seeking a highly motivated Mid-Level Corporate/M&A Transactions Attorney with 5-8

\n

years of relevant experience to join our team. The ideal candidate will have a strong

\n

background with a variety of corporate matters, including M&A, entity formation, corporate

\n

governance, commercial contracts, and private financings.

\n

\n

Key Responsibilities:

\n

• \n
• Support M&A transactions from inception through closing, including due diligence,
• \n

\n

drafting, negotiation, and closing documentation.

\n

• \n
• Draft, review, and negotiate a wide range of commercial agreements (NDAs, service
• \n

\n

agreements, vendor/customer contracts, etc.).

\n

• \n
• Support general corporate counseling and day-to-day business matters.
• \n
• Collaborate closely with other attorneys, clients, and professionals in a team-oriented
• \n

\n

environment.

\n

\n

Qualifications:

\n

• \n
• J.D. from an accredited law school and active member in good standing of the Virginia
• \n

\n

Bar or eligible to waive in.

\n

• \n
• 5-8 years of experience in a corporate transactional practice, preferably with a law firm
• \n

\n

or in-house legal department.

\n

• \n
• Strong organizational, drafting and analytical skills.
• \n
• Ability to manage multiple projects in a fast-paced environment.
• \n
• Excellent communication and interpersonal skills.
• \n
• A proactive and client-focused mindset.
• \n
