ABOUT THE ROLE
A leading national regional firm is seeking a mid-level corporate associate to join its suburban Philadelphia office. The corporate group handles a broad range of transactional matters — M&A, private equity, alternative entity formation, joint ventures, and general corporate governance — for a client base spanning emerging companies through established middle-market businesses. Associates work closely with senior partners and take on early responsibility over transactions.
WHAT YOU'LL DO
- Lead and support M&A transactions, including due diligence, drafting, and negotiation of deal documents
- Advise on formation, governance, and restructuring of corporations, LLCs, and alternative entities
- Draft and negotiate purchase agreements, operating agreements, and ancillary transaction documents
- Manage client relationships and communicate deal status to senior stakeholders
- Mentor junior associates and coordinate with cross-practice colleagues as needed
WHAT WE'RE LOOKING FOR
- J.D. from an ABA-accredited law school
- 4+ years of corporate/transactional experience at a law firm, with alternative entity experience
- PA Bar admission required
- Strong drafting skills and meticulous attention to detail
- Proven ability to manage transactions independently and meet closing deadlines
