Mid-Level Corporate Associate

About the Role

An established business-focused law firm is seeking a Mid-Level Corporate Associate for its San Francisco team. You will advise clients in architecture, engineering, and design professional services on transactional and ongoing corporate matters, working directly with partners and clients and taking meaningful ownership of deals.

What You'll Do

• Manage buy-side and sell-side mergers and acquisitions with significant autonomy, from transaction planning through closing.
• Provide outside general counsel support to closely held corporations and pass-through entities.
• Draft and negotiate commercial contracts, financing documents, and entity formation documents.
• Advise on corporate governance, ownership transitions, and securities law compliance.
• Coordinate deal teams and manage substantial portions of transactions independently.

What We're Looking For

• Four to six years of corporate or transactional law experience, including hands-on M&A deal management.
• Experience with corporate governance, commercial contracts, entity formations, and financings.
• A Juris Doctor degree from an ABA-accredited law school and an active California bar license before offer.
• Strong drafting, negotiation, analytical, written, and oral communication skills.
• Background advising closely held businesses, including professional services firms, is relevant.

Compensation & Benefits

Annual salary range: $230,000 to $250,000. Visa sponsorship is not available.
