We are passionate about our business and culture, and are seeking individuals with the same drive.Job Description Our two-year paralegal position offers a unique experience for recent college graduates who consider law school. The Moelis legal team includes eight full‑time attorneys and this role will be integral to a highly functioning legal team.Responsibilities Board of Directors matters: manage annual board agenda, coordinate board materials, draft agendas, minutes, and resolutions, collect board consents, and prepare for meetings.Proxy statement filings: manage the filing process, collect and review feedback, and coordinate with internal and external teams.Corporate Governance: handle SEC filings (Section16, annual, quarterly, 8‑K), D&O questionnaires, annual meetings, and other public filings.Entity management: maintain structure charts, process director and officer appointments/resignations, and address related requests.Compliance matters and regulatory requirements.Litigation matters: respond to subpoenas, discovery requests, and record requests.Research and analysis: support corporate transactions with emphasis on mergers & acquisitions, securities offerings, and restructurings.Corporate Secretary matters: draft organizational consents and maintain corporate records and documents.Collaborate with internal teams, stakeholders, and bankers, and build and nurture these relationships.Provide ongoing support for various ad‑hoc projects.Qualifications Undergraduate degree.Commitment to a two‑year term at Moelis.Willingness to work in‑office four days per week.Dedicated work ethic and strong interpersonal skills.Excellent organizational skills and strong attention to detail.Solid computer skills, specifically the Microsoft Office suite.Ability to use discretion when maintaining confidential and sensitive information.Ability to handle numerous projects and deadlines.Resourcefulness and participation in a fast‑paced, highly collaborative environment.Expected Salary: $65,000 (non‑exempt).We are an Equal Opportunity Employer.
