Paralegal - Transactional - Chicago - Hybrid - $100-140kPosition OverviewWe are seeking an experienced Transactional Paralegal to join our clients Public Finance practice group. This role is central to managing complex municipal bond issuances, structured finance, and commercial lending transactions from inception through closing. The ideal candidate brings extensive experience with Uniform Commercial Code (UCC) filings, public records research, and the precise documentation required for large-scale public finance deals.Key ResponsibilitiesUCC & Public Records Management: Review, draft, and file UCC-1 financing statements, UCC-3 amendments, continuations, and terminations. Conduct, analyze, and summarize comprehensive UCC, lien, judgment, and litigation searches across local, state, and federal jurisdictions.Transaction Management & Closing: Coordinate the closing process for complex public finance transactions. Prepare and manage detailed closing checklists, compile closing transcripts, assemble financing legal documents, and oversee the execution and distribution of signature pages.Entity Management: Assist with the formation, maintenance, and dissolution of corporate entities and special purpose vehicles. Draft organizational documents, resolutions, and certificates of incumbency.Due Diligence: Conduct thorough due diligence reviews of public records, corporate organizational structures, and financing documentation to identify potential issues or encumbrances.Post-Closing: Manage the post-closing process, including organizing and distributing official closing transcripts, executing recording filings, and ensuring all transactional records are properly archived.Qualifications & ExperienceEducation: Bachelor's degree or an ABA-approved Paralegal Certificate preferred.Experience: Minimum of 3–5 years of paralegal experience in a large law firm setting, focusing on public finance, structured finance, or sophisticated commercial lending transactions.Technical Skill: Expertise in UCC Article 9 concepts, filing procedures, and state-level search platforms is strictly required.Skills:Exceptional organizational skills with the ability to manage competing deadlines for multi-million dollar transactions.Sharp attention to detail regarding legal descriptions, financial figures, and signature page compliance.Strong written and verbal communication skills for coordinating with underwriters, bond issuers, bank counsel, and state agencies.Proficiency with document management systems (e.g., iManage, NetDocuments) and transactional tools.To apply, please send your resume and references to durban@libertyjobs.com#J-18808-Ljbffr
