The Direct Hire Division of Consilio, LLC is working with a top law firm that is seeking to hire a paralegal to join their team in Atlanta, Chicago, Dallas, San Francisco, or New York. They truly value their staff and are committed to the communities they serve.About the RoleThe Firm's Real Estate Finance team is seeking a Paralegal to provide support to attorneys who represent lenders, loan servicers and investors in all aspects of commercial real estate transactions. The Paralegal will be an integral part of the team and will assist attorneys in all aspects of commercial real estate finance transactions, as well as client development and practice management. The Paralegal will provide workflow coordination duties and will work under the direction of attorneys and perform miscellaneous duties as assigned.ResponsibilitiesDraft loan documents and ancillary documents, including: ancillary deal documents for assumptions, transfers, lien releases, certificates, resolutions, schedules, legal opinions, closing checklistsReview closing documents, including: deeds, memoranda of leases, easements, promissory notes, deeds of trust, security agreements, UCC financing statements, subordination and intercreditor agreements, assignments, loan agreements, estoppels certificates, SNDA's, resolutions, incumbency certificates, certificates of trust and opinion letter draftsFamiliarity with pooling/servicing agreements, grantor trust agreements and securitized loan documents a plusCoordinate and manage data rooms, due diligence materials, signature packets, executed documents, and closing setsDraft closing instruction letters and coordinate closings related to loans secured by real estate and other collateralReview settlement statements for real estate transactionsAssist with filing and recording of closing documents and prepare closing bindersReview title insurance commitments, restrictive covenants, easements, title policies, title endorsements and surveys; prepare detailed title and survey summaries and comments to proforma lenders policies of title insuranceOrder and review due diligence documents and entity formation and registration documentationPrepare critical date lists and manage transaction calendarsReview and prepare various corporate documents, including LLC and LP agreements, bylaws, stock certificates and transfers, subscription agreements, resolutions, secretary's certificates, S election applications and tax identification number applications and articles of formation and dissolutionProvide quality control and deadline managementProvide back-up support to team, department and floor for coverage and project assistance as neededAbout YouBachelor's degree and/or paralegal certificate preferred but not requiredMinimum of 5 years' experienceExtensive knowledge of computer systems and programs including Microsoft Office SuiteExtensive knowledge of legal terminology, processes and definitionsExcellent verbal, written and interpersonal communication skillsService orientation and teamwork skillsExcellent organizational, time management skills; ability to prioritize and meet deadlinesAttention to detail; excellent editing and proofreading skillsExcellent analytical skillsAbility to identify problems and propose creative solutionsAbility to balance multiple complex tasksAdditional LogisticsThis is a full-time, regular position with a multi-faceted health benefit package including medical, dental, and vision.
