Generac is seeking a highly organized, collaborative and technologically curious Paralegal to join our Commercial Legal team. This role sits at the intersection of commercial law, legal operations and business enablement. The successful candidate will be a trusted partner to attorneys and business leaders, helping streamline contracting processes, support strategic acquisitions and integrations, administer legal technology platforms and improve the efficiency and scalability of legal services across the organization.

This position is ideal for someone who is detail-oriented, proactive and energized by solving problems, implementing process improvements and leveraging technology to create meaningful business impact.

ESSENTIAL DUTIES:

Contract Lifecycle Management Leadership

  • Support the development, implementation, administration and continuous improvement of the company's contract lifecycle management platform

  • Serve as a power user and internal resource for CLM workflows, templates, reporting, user training and adoption

  • Identify opportunities to automate, simplify and standardize contracting processes

  • Partner within Legal, IT, Procurement, Sales and other stakeholders to maximize platform effectiveness and user experience

Commercial Contract Support

  • Review, draft, revise and negotiate commercial agreements using approved playbooks and contract standards

  • Assist attorneys with commercial transactions, escalations and contract-related risk assessments

  • Maintain contract templates and policies and support continuous improvement of contracting tools and processes

  • Coordinate contract execution, reporting and compliance activities

Mergers, Acquisitions and Divestitures

  • Support acquisition integration activities by coordinating legal workstreams and tracking deliverables

  • Assist in legal due diligence efforts for acquisitions and divestitures, including data collection, organization and review of legal records

  • Support post-closing integration activities involving contracts, policies, corporate records and governance matters

Corporate Governance, Finance and Tax

  • Prepare board, shareholder and affiliate resolutions

  • Draft intercompany agreements, dividend documentation and other corporate governance materials

  • Maintain corporate records and support legal entity management activities

Legal Operations

  • Assist with commercial legal team budgeting, spend tracking, reporting and forecasting

  • Support vendor management and legal operations reporting activities

MINIMUM QUALIFICATIONS:

  • Associate degree in paralegal studies or equivalent combination of education and experience

  • 5 years of paralegal experience in a law firm or corporate environment

  • Experience reviewing and managing commercial agreements

  • Strong project management and organizational skills

  • Demonstrated proficiency with Microsoft Office applications and legal technology platforms

PREFERRED QUALIFICATIONS:

  • Experience supporting commercial transactions in a manufacturing, industrial, technology, or publicly traded company environment

  • Experience implementing or administering a contract lifecycle management (CLM) platform

  • Experience supporting mergers, acquisitions, integrations, or divestiture transactions

  • Experience with legal operations and e-billing tools

  • Paralegal certification (NALA, NFPA, or equivalent)

  • Demonstrated strength in continuous improvement implementation

  • Exceptional attention to detail, organizational and time management skills, with the ability to manage multiple priorities in a fast-paced environment

  • Strong written and verbal communication skills and the ability to collaborate effectively across all levels of the organization

  • Proactive, solutions-oriented mindset with a demonstrated ability to identify issues, improve processes and drive work to completion

  • Self-starter with a strong sense of urgency, accountability and ownership

  • Ability to work independently while building strong partnerships with attorneys, business leaders and cross-functional teams

  • Interest in legal technology, contract lifecycle management and process improvement, with an aptitude for quickly learning new systems and tools

  • Proficiency in Microsoft Office and the ability to become a highly skilled user of legal, matter management and document management platforms

  • Flexibility and resilience in managing changing priorities and evolving business needs

  • Experience supporting non-U.S. legal entities or global business operations is a plus

LEVEL OF INDEPENDENCE:

The candidate will report directly to the VP Deputy General Counsel but will support requests from multiple in-house counsel. Although all legal tasks will be performed under the direction and review of a supervising attorney within the department, the candidate will be expected to independently complete and follow-up on assignments as required.

PHYSICAL DEMANDS:
