Scope of Responsibilities We are seeking an experienced Corporate Paralegal to join our Mergers & Acquisitions practice. This role provides direct support to attorneys and senior paralegals across the full lifecycle of M&A transactions—from deal inception through post‑closing—responsibilities spanning document management, closing coordination, corporate governance, and ongoing entity compliance.Assist with preparation and drafting of merger or purchase agreements and related ancillary agreements.Prepare and draft disclosure schedules.Develop and conduct research related to transactions and filings, such as UCC searches.Virtual Data Room management.Analyze and organize records and documents.Prepare withdrawal and qualification documents in accordance with all state, local and federal laws and regulations for conducting business.Prepare notification of change of ownership or information with state regulatory agencies.Manage/oversee the preparation of electronic closing sets and binders and other post‑closing deliverables; distribute to appropriate parties.Draft shareholder and board consents.Entity formation: Draft organizational, incorporation and formation documents such as Articles of Organization, Operating Agreements, Consents and qualification documents.Conduct name‑availability search and reserve entity name, if required.Draft Subscription Agreements, Stock Certificates, Stock Powers and related documents.Prepare SS‑4 forms and apply for Employer Identification Numbers.Draft and file amendment certificates for corporations or limited liability companies.Coordinate projects with various service companies.Use SimplyAgree and DocuSign regularly.Essential Job Functions Significant client management experience.Exercise significant independent judgment and discretion in management of client team activities.Exercise independent judgment in the efficient and cost‑effective use of practice support, databases and other technology.Exhibit initiative to stay informed of developments in the paralegal industry and go above and beyond to ensure growth of the Corporate M&A and Securities Paralegal Team.Familiarity with adopting legal AI and ability to learn and implement new AI preferred.Meet a billable hour requirement of 1,500 hours per year.Perform other duties as required.Minimum Requirements Minimum of 5 years relevant experience, with a significant focus on M&A transactions.Associate's degree required; Bachelor's degree or Paralegal Certificate preferred.Significant, substantive legal‑related experience may be considered in lieu of formal education at the discretion of the SBU Managing Director.Other Desired Qualifications Professional and courteous interaction with clients and employees; professional appearance required.Strong organizational, time‑management and prioritization skills.Collaboration within a team and adaptability to changing business demands.Ability to produce accurate, high‑quality work efficiently.Good judgment and decisive action under deadlines.High level of professional integrity with confidentiality and trust.Strong oral and written communication skills.Strong computer skills, including Microsoft Word, Outlook, PowerPoint and Excel.Reliability and commitment to deliver on obligations.Excellent communication, analytical and organizational skills.Success in a fast‑paced, continually changing environment.Ability to independently manage all key duties without supervision of another Paralegal or Senior Paralegal.Clear, concise, confident communication, adapting to needs and preferences of others.Compensation and Benefits Employees are entitled to compensation commensurate with skill and experience. The exact compensation will vary based on skills, experience, location, and other factors permitted by law. The expected compensation ranges for this position are as follows:State of Colorado: $75,000–$119,000State of Illinois: $64,000–$125,000State of Maryland: $73,000–$107,000State of Massachusetts: $85,000–$130,000State of Minnesota: $75,000–$111,000Jersey City, NJ: $78,000–$114,000State of New York: $66,000–$125,000State of Washington: $88,000–$134,000Washington, DC: $94,000–$138,000Additional compensation may include a discretionary bonus based on individual and firm performance.
