Corporate Paralegal – Full‑time position in Mergers & Acquisitions practice.Scope of ResponsibilitiesWe are seeking an experienced Corporate Paralegal to join our M&A practice. This role provides direct support to attorneys and senior paralegals across the full lifecycle of M&A transactions— from deal inception through post‑closing— with responsibilities spanning document management, closing coordination, corporate governance, and ongoing entity compliance.ResponsibilitiesAssist with preparation and drafting of merger or purchase agreements and related ancillary agreementsPrepare and draft disclosure schedulesDevelop and conduct research related to transactions and filings, such as UCC searchesVirtual Data Room managementAnalyze and organize records and documentsPrepare withdrawal and qualification documents in accordance with all state, local and federal laws and regulations for conducting businessPrepare notification of change of ownership or information with state regulatory agenciesManage/oversee the preparation of electronic closing sets and binders and other post‑closing deliverables; distribute to appropriate partiesDraft shareholder and board consentsEntity formation: draft organizational, incorporation and formation documents such as Articles of Organization, Operating Agreements, Consents and qualification documentsConduct name availability search and reserve entity name, if requiredDraft Subscription Agreements, Stock Certificates, stock Powers and related documentsPrepare SS‑4 forms and apply for Employer ID NumbersDraft shareholder and board consentsDraft and file amendment certificates for corporation or limited liability companiesCoordinate projects with various service companiesSimplyAgree and DocuSign are used regularly in this role.
