This position will be responsible for the coordination, provision, and completion of various legal support tasks as requested by a supervising attorney or senior paralegal in support of Providence St. Joseph Health's various operations within its operating footprint.Maintain corporate information in Providence's entity management database (hCue).Assist with corporate filings (formations, qualifications, obtaining EINs, Certificate of Good Standing, UCC, foreign qualification process, revisions to corporate governing documents, obtaining fictitious business names, amendments, dissolutions, management changes, withdrawals, etc.)Track and assist with annual report filings and other compliance activities.Provide support in the areas of real estate, corporate transactions and related matters.May assist with quarterly due diligence and draw down processes for debt refinancing.Draft and prepare a wide range of documents, including resolutions, governance documentation, certifications, consents, reports, etc.Assist with maintaining/updating corporate organizational charts for Providence.At attorney direction assists with preparing documentation for a variety of corporate transactions, including mergers and acquisitions and financings. This may include preparing or drafting due diligence request lists, document data rooms, form agreements, and closing binders.Assist cross‑functional teams to support financings, M&A and other strategic transactions, including providing support and project management for due diligence and corporate structures.Healthcare OperationsAssist with a variety of matters to include but not be limited to, intellectual property matters including copyright, trademark, and patent filings; internal advice matters on a wide variety of subjects; regulatory matters, a wide variety of contracting matters, medical staff matters, and pre litigation disputes.Enter timely status updates in DLA's matter management system (Legal Tracker), ensure the matter record is complete and accurate, and ensure all documents are filed to the appropriate matter using DLA's document management system (iManage).May coordinate conflict waiver requests and ensures they comply with established requirements for reviewing and considering such requests.May assist with support for governmental inquiries, civil investigative demands, other regulatory investigations, and various components of litigation.Provide support for regulatory filings including certificates of need.Assist with matters related to payor contracting and medical staff.Assist with drafting and reviewing of wide variety of legal documents and agreements, including, but not limited to settlement agreements, physician/provider agreements, clinical education/affiliation agreements; Non‑Disclosure Agreements; letters of intent; Business Associate Agreements; presentations; memos; correspondence; and other documents.May participate in the review and revision of operational policy reviews and revisions. Including research into relevant statutes.Maintain knowledge of various federal and state healthcare laws including Stark Law, Anti‑Kickback Statute, False Claims Act, Medicare and Medicaid billing rules, HIPAA‑HITECH, and EMTALA, and explain the broad concepts of each law to a variety of audiences.Essential FunctionsIdentifies issues consistent with experience such that the attorney can focus her/his attention on providing legal advice and counsel to business partners.Become familiar with and able to independently utilize Legal Tracker, iManage and various other platforms and document management systems used by DLA.May field calls from outside counsel and business partners when requested by the DLA attorney (or when said attorney is not available), as appropriate.Communicate directly and through correspondence with high level internal and external customers.Required QualificationsAssociate's Degree- ABA-approved Paralegal Studies Program or Certificate from a paralegal program at, or a degree from, an accredited secondary institution which requires at least 24 semester units in law-related courses.2 years- Paralegal experience in a relevant practice area with an in‑house legal team, or equivalent experience in a law practice setting.Preferred QualificationsBachelor's Degree-Paralegal Studies / Law / Legal StudiesCoursework/Training- eDiscovery / Contract Management / Project ManagementNotary Public Designation/License upon hire.2 years- Demonstrated experience performing substantive legal work for multiple attorneys in a relevant practice area.2 years- General understanding/exposure to the health care industry working with large integrated health systems.Salary Range by LocationCalifornia: All Southern California - Except Bakersfield: Min: $37.17, Max: $57.71Oregon: Portland Service Area: Min: $35.66, Max: $55.37Washington: Western : Min: $37.17, Max: $57.71Equal Opportunity EmployerProvidence is proud to be an Equal Opportunity Employer.
