Paralegal Position
Vestar is seeking an experienced, detail-oriented Paralegal to join our in-house legal team. This mid-level role supports the Legal Department across commercial real estate transactions, litigation matters, and general corporate legal functions. The ideal candidate brings 3–5 years of paralegal experience, thrives in a fast-paced environment, and demonstrates strong initiative, organizational acumen, and a collaborative working style.
Key Responsibilities:
- Assist attorneys in drafting, reviewing, and coordinating closing documents for acquisitions, dispositions, and financings.
- Conduct and review title searches, surveys, UCC searches, and due diligence materials; track and resolve due diligence matters.
- Prepare and organize closing binders, condition checklists, and transaction summaries.
- Coordinate with title companies, lenders, clients, and in-house and outside counsel throughout the transaction lifecycle.
- Maintain and update transaction tracking logs and critical-date calendars.
- Review active commercial lease agreements and monitor critical lease milestones, including renewal windows and expiration dates;
- Assist with drafting lease renewals, extensions and lease assignments; Coordinate with tenants, outside counsel, title companies, lenders and clients on leasing matters and documentation;
- Prepare auxiliary lease documents, including estoppel certificates, commencement date agreements and memorandum of leases.
- Draft and review correspondence with tenants, including consent letters, default notices and demand letters.
- Prepare and file entity formation, amendment and termination documents, foreign qualifications, annual reports, and other state and local filings.
- Maintain corporate minute books, entity records, organizational charts, and registered agent information.
- Obtain employer identification numbers (EINs), good standing certificates, and file FINCEN Beneficial Ownership reports.
- Draft, review, and track a variety of contracts, NDAs, vendor agreements, and correspondence.
- Manage and organize litigation files; maintain case chronologies and status reports
- Handle notarizations and coordinate execution of legal documents.
Qualifications:
- 3–5 years of paralegal experience, with meaningful exposure to commercial real estate or corporate transactions.
- Associate's or Bachelor's degree; paralegal certificate from an ABA-approved program preferred.
- Strong working knowledge of commercial real estate concepts, including leases, purchase and sale agreements, title insurance, and loan documents.
- Proficiency in Microsoft Office Suite (Word, Excel, Outlook); familiarity with document management systems.
- Exceptional written and verbal communication skills with high attention to detail; sharp contract-reading abilities.
- Demonstrated ability to manage multiple priorities and deadlines with minimal supervision.
- Experience in an in-house legal department within a real estate, retail, or development company.
- Familiarity with Arizona real estate laws, regulations, and recording procedures.
- Notary Public commission in the State of Arizona (or ability to obtain).
- Experience working on multi-million-dollar real estate or other corporate transactions.
Work Environment & Physical Requirements:
- Standard office environment; primarily sedentary role with extended periods at a computer workstation.
- Occasional travel to project sites, title companies, or county recording offices may be required.
- Full-time position; must be available during core business hours with flexibility during high-volume transaction periods.
