JOB SUMMARY
Kutak Rock LLP seeks an experienced real estate paralegal to join the tax credit practice in its Washington D.C. office. This position will work primarily with lawyers and staff in our tax credit finance practice. This individual will be primarily responsible for supporting title and survey reviews, obtaining and organizing due diligence documentation, assisting with closing transactions, and organizing and monitoring post-closing tasks. This role is ideal for the detail-oriented individual who enjoys working in a collegial and collaborative environment.
 
RESPONSIBILITIES
  • Assist with all phases of various tax credit finance transactions 
  • Coordinate workflow for attorneys, delegating specific tasks to other teams while providing a timely and high-quality end product
  • Manage and review all facets of due diligence for transactions including accessing, downloading, uploading and organizing materials from and to various virtual data rooms and document portals, and providing access to attorneys
  • Order, review, and analyze title commitments, title proformas, exception documents, and surveys; interfacing directly with title companies and surveyors to resolve any issues or discrepancies, and prepare necessary documents to correct and clear title
  • Review organizational and authority documents
  • Prepare of initial draft documents for attorney review, including estoppel certificates, lease, and loan document abstracts  
  • Prepare and update distribution lists, signature pages, closing checklists, and forms
  • Format and compile documents and exhibits from various sources to firm standards 
  • Prepare and process new matter forms, request conflict checks, and open new files
  • Coordination of and assistance with closings, including review and/or preparation of conveyance documents, closing statements, transfer tax forms, and escrow release documentation, and filing
  • Attend to post-closing requirements, including preparation of closing indices, preparation and organization of closing binders, and monitoring of post-closing deliveries and other requirements
  • Prepare correspondence and memoranda, handling routine correspondence and maintain e-mail and telephone contact with clients, as needed
  • Research relevant title requirements, endorsement availability, and negotiate title insurance coverage
  • Review specific zoning requirements related to parking, building, and fire code requirements
  • Prepare UCC financing statements and coordinate filing with state and local entities
  • Organize and maintain electronic and paper filings with state and federal agencies
  • Handle accounting responsibilities
  • Meet regularly with supervising attorneys 
  • Assist with other duties as assigned
 
QUALIFICATIONS: Skills and Abilities
  • Demonstrative knowledge and understanding of various tax credit syndication transactions including historic, new markets, low-income housing, and renewable energy
  • Knowledge of conducting on-line research of public offices for tax, recording, zoning, and other information 
  • Adept in the review and analysis of commercial title, survey, and zoning documents
  • Ability to organize large quantities of information
  • Ability to work well under the pressures of deadlines, manage time sensitive documents, and prioritize assignments while thriving in a fast-paced environment
  • Ability to work both collaboratively as part of a team, independently or unsupervised 
  • Strong attention to detail with excellent spelling, grammar, formatting, and proofreading skills
  • Excellent project management, organizational, written, and verbal communication skills
  • Ability to handle documents and other information with confidentiality and discretion
  • Excellent interpersonal and communication skills with an aptitude to interface with attorneys, clients, staff, and firm visitors
  • Ability and aptitude to work with numbers and mathematic calculations
  • Proficiency with Adobe and Kofax PDF, and document comparison and formatting software such as Litera and Forte
  • Proficiency in Microsoft Office suite of products, especially Word, Excel and PowerPoint, as well as Sharepoint, Intralinks, and other virtual dataroom and project management applications
  • Ability to be flexible and work additional hours as needed
 
QUALIFICATIONS: Education and Experience
  • High school (or equivalent) required; preference given to those with a Bachelor’s degree and/or successful completion of an accredited legal assistant or paralegal program
  • 8 or more years work experience in tax, real estate, and lending transactional matters in a law firm/internal corporate law department required
  • Candidates with experience in tax credit finance transactional matters and survey and title review given preference
 
Position Information
Status: Non-Exempt 
Salary Range: $41.03-$64.10 per hour with an estimated annual salary of $80,000-$125,000 per year, commensurate with knowledge and experience. 
Work Arrangement: Hybrid 3:2, with Manager approval
