Private Capital Deal Structuring Analysts support investment teams by structuring, modeling, and executing private capital transactions. The role combines financial analysis, legal and fund structuring knowledge, and transaction execution to optimize deal economics and investor outcomes.
Analysts collaborate closely with investment professionals, legal teams, and fund managers to assess transaction feasibility, draft deal documentation, and monitor performance of structured investments.
Support structuring of private capital transactions, including secondary market deals, co-investments, and fund commitments
Build and maintain financial models to evaluate deal economics, returns, and risk allocation
Assist in drafting transaction term sheets, legal documentation, and fund agreements
Conduct due diligence on portfolio companies, fund positions, and market comparables
Collaborate with investment, legal, and investor relations teams to execute and monitor deals
Analyze fund performance, NAV movements, and portfolio liquidity impacts
Prepare presentations, investment memos, and reporting materials for internal and external stakeholders
Identify opportunities to optimize transaction structures and improve investor outcomes
Bachelor’s degree in Finance, Economics, Accounting, or a related field; CFA or JD is a plus
Understanding of private capital markets, fund structures, and deal execution
Experience or coursework in private equity, venture capital, private credit, or real estate
Strong analytical skills, including financial modeling, portfolio analysis, and valuation
Proficiency in Excel and PowerPoint; familiarity with SQL, Python, or other analytical tools is a plus
Ability to manage multiple priorities and work effectively in a transaction-driven environment
Strong written and verbal communication skills
Interest in deal structuring, private capital transactions, and portfolio optimization
