A premier global law firm is seeking a Private Companies (Life Sciences) Associate Attorney to join its New York office.

This opportunity is ideal for an attorney interested in representing venture-backed life sciences companies, biotechnology companies, pharmaceutical companies, medical device companies, founders, and venture capital investors throughout the full company lifecycle.

Ideal Background

3–6 years of corporate transactional experience gained at a sophisticated national or international law firm

• Experience representing early-stage and growth-stage life sciences companies, including biotechnology, pharmaceutical, diagnostics, medical device, and healthcare technology companies

• Experience advising venture-backed companies on day-to-day corporate matters throughout their growth lifecycle

• Experience handling venture capital financings, preferred equity financings, mergers & acquisitions, strategic transactions, liquidity events, and corporate governance matters

• Experience representing venture capital funds, institutional investors, founders, and emerging growth companies

• Experience drafting and negotiating stock purchase agreements, investor rights agreements, voting agreements, shareholder agreements, merger agreements, financing documents, and other corporate transaction documents

• Ability to serve as a trusted outside advisor on general corporate matters while building strong long-term client relationships

• Strong drafting, negotiation, analytical, organizational, and communication skills

• Ability to independently manage sophisticated transactions while maintaining significant client interaction

• Excellent academic credentials

J.D. from an ABA-accredited law school required

New York bar admission required or ability to become admitted
