Compensation

$260,000 – $390,000+

A premier AmLaw 50 firm is seeking a Private Equity Debt Finance Associate Attorney to join its Boston office.

This opportunity is ideal for an attorney interested in representing private equity sponsors, commercial banks, direct lenders, private credit funds, and borrowers in sophisticated leveraged finance and acquisition financing transactions.

Ideal Background

3–5 years of debt finance experience gained at a national or international law firm

• Experience representing private equity sponsors, commercial banks, private credit funds, direct lenders, and borrowers

• Significant experience handling leveraged buyout financings, acquisition financings, corporate growth financings, recapitalizations, and syndicated and bilateral credit facilities

• Experience drafting and negotiating commitment letters, commitment papers, credit agreements, security agreements, guaranties, collateral documents, intercreditor agreements, and other financing documents

• Experience with term loan facilities, revolving credit facilities, secured lending transactions, and complex financing structures

• Working knowledge of the Uniform Commercial Code (UCC) and secured lending principles

• Ability to independently manage sophisticated financing transactions while collaborating effectively with multidisciplinary deal teams

• Strong drafting, negotiation, analytical, and client counseling skills

• Excellent academic credentials

J.D. from an ABA-accredited law school required

Massachusetts bar admission required or ability to become admitted
