Compensation

$260,000 – $420,000+

A premier global law firm is seeking a Private Equity Mergers & Acquisitions Associate Attorney to join its Philadelphia office.

This opportunity is ideal for an attorney interested in representing private equity sponsors, portfolio companies, founders, and strategic investors in sophisticated domestic and cross-border transactions.

Ideal Background

3+ years of private equity, mergers & acquisitions, or corporate transactional experience gained at a sophisticated law firm

• Experience representing private equity sponsors, portfolio companies, strategic buyers and sellers, founders, and institutional investors

• Experience handling mergers, acquisitions, leveraged recapitalizations, growth equity investments, venture capital financings, and strategic exits

• Experience drafting and negotiating purchase agreements, merger agreements, equity investment documents, operating agreements, shareholder agreements, and related transaction documentation

• Experience managing due diligence, coordinating deal teams, and independently handling significant components of sophisticated transactions

• Experience advising clients regarding equity compensation, corporate governance, and general corporate matters

• Strong drafting, negotiation, analytical, organizational, and communication skills

• Ability to independently manage sophisticated transactions while maintaining significant client interaction

• Strong business judgment and the ability to effectively manage client and opposing counsel relationships

• Excellent academic credentials

J.D. from an ABA-accredited law school required

Pennsylvania bar admission required or ability to become admitted
