    Private Funds & Investment Services Associate Attorney

    AmLaw 200 Opportunity

    Compensation

    $260,000 – $390,000+

    A highly respected AmLaw 200 firm is seeking a Private Funds & Investment Services Associate Attorney to join its New York office.

    This opportunity is ideal for an attorney interested in representing private fund sponsors, investment advisers, institutional investors, family offices, and asset managers in sophisticated fund formation, securities, and investment management matters.

    Ideal Background

    3–5 years of corporate, securities, investment management, or private funds experience gained at a sophisticated law firm

    • Experience representing private equity funds, hedge funds, venture capital funds, real estate funds, private credit funds, investment advisers, and institutional investors

    • Experience with private fund formation, fund structuring, sponsor-side matters, investment adviser counseling, and ongoing fund operations

    • Experience drafting and negotiating limited partnership agreements, operating agreements, subscription agreements, private placement memoranda, investment management agreements, and other fund documentation

    • Experience advising clients on the Investment Advisers Act, Investment Company Act, Securities Act, Securities Exchange Act, and other federal securities regulations

    • Experience supporting regulatory compliance, SEC filings, investor negotiations, and governance matters

    • Strong drafting, analytical, organizational, and communication skills

    • Ability to independently manage sophisticated fund formation and investment management matters while maintaining significant client interaction

    • Excellent academic credentials

    J.D. from an ABA-accredited law school required

    New York bar admission required or ability to become admitted
