Private Investment Fund / Investment Management Fund Associate

A highly regarded boutique law firm is seeking a Private Investment Fund / Investment Management Associate to join its Stamford office.

The ideal candidate will have at least two years of experience advising private investment fund sponsors and institutional investors in connection with fund formation and related investment management matters.

Representative Experience May Include

• Drafting and negotiating private fund formation documents
• Private placement memoranda
• Limited partnership and operating agreements
• Subscription agreements and side letters
• Advising fund sponsors regarding fund structuring and governance matters
• Counseling clients regarding securities laws and regulatory considerations
• Reviewing fund and co-investment documentation for institutional investors
• Coordinating directly with sponsors, investors, and deal teams on sophisticated investment matters

The ideal candidate will have:

• At least two years of private investment fund formation and investment management experience
• Experience drafting and negotiating core fund documents
• Knowledge of fund structures, sponsor and investor considerations, and applicable securities regulations
• Strong drafting, analytical, and organizational skills
• Excellent academic credentials
• Large law firm or equivalent transactional experience
• The ability to manage multiple matters effectively and work collaboratively within a team-oriented environment
• Connecticut Bar admission or eligibility for admission upon hire

Experience reviewing fund and co-investment documentation for institutional investors and New York Bar admission are both a plus.
