Job Summary:
We are seeking an experienced and detail-oriented Real EstateParalegal provide day-to-day support to in-house corporate counsel in one or more of the following areas: preparation, review and revision of legal documents for real estate transactions, including leases, licenses, purchase agreements, deeds, easements, closing documents, escrow instruction letters and other transaction documents corporate governance, entity management, contract drafting, M&A due diligence, legal research, and internal compliance initiatives
Key Responsibilities:
- Review, draft, and prepare first-draft redlines of commercial leases, amendments, extensions, landlord consents, estoppels, SNDA agreements, and related real estate documents for senior legal review.
- Review and draft letters of intent, term sheets, and other preliminary real estate documents, and compare business terms against lease drafts to identify inconsistencies and legal issues.
- Prepare redline comparisons showing changes between lease versions and summarize key legal and business issues for escalation.
- Assist with legal review of commercial contract documents and prepare draft correspondence and response language for attorney review.
- Coordinate entity formations, foreign qualifications, assumed name filings, annual reports, registered agent matters, and related organizational and governance documents across multiple states.
- Prepare, maintain, and organize corporate records, including formation documents, operating agreements, bylaws, resolutions, and good standing materials.
- Manage and respond to subpoenas, record requests, and other third-party legal demands, including document collection, organization, tracking deadlines, and preparing draft response correspondence.
- Review underlying documents and prepare draft legal responses, objections, and related communications for internal legal review.
- Review incident reports relating to alleged injuries or events at company locations and organize supporting documentation for legal and claims handling purposes.
- Assist with review and administration of third-party insurance claims involving alleged personal injury, property damage, or other incidents at company locations.
- Coordinate with operations, risk, real estate, finance, HR, and outside counsel to gather facts, documents, and status updates.
- Track deadlines, maintain legal files, manage matter lists, and support legal department reporting and compliance processes.
- Perform legal research and assist in the preparation of internal summaries, templates, and process documents.
Required Qualifications
- Paralegal certificate, associate degree, bachelor’s degree, or equivalent relevant legal experience.
- 2+ years of paralegal or in-house legal assistant experience, preferably in a corporate legal department, real estate environment, or multi-location business.
- Demonstrated experience reviewing and drafting commercial leases, letters of intent, and related real estate documents.
- Experience preparing first-draft edits and redline comparisons for attorney or senior legal review.
- Experience with entity formations, state filings, and corporate organizational documents in multiple jurisdictions.
- Experience handling subpoenas, document requests, and legal correspondence.
- Strong written communication skills, including the ability to review documents and prepare clear, professional draft responses.
- Ability to manage sensitive incident and claims-related information with discretion and sound judgment.
- Strong organizational skills and the ability to manage multiple projects and deadlines with minimal supervision.
- Proficiency with Microsoft Office, including Word redlining and document comparison tools.
Preferred Qualifications
- Experience supporting a national or multi-state business.
- Experience with lease administration platforms, entity management systems, and matter management tools.
- Familiarity with personal injury claims, premises liability issues, and insurance coordination.
- Experience working directly with senior in-house counsel, a General Counsel, or Chief Legal Officer.
