Securities and Capital Markets Mid-Level Attorney

What we're looking for:

We're looking for a mid- to senior-level Securities and Capital Markets associate with 4–8 years of law firm experience in '33 Act and '34 Act work who can step in and take on real responsibility quickly. You should be comfortable advising public company clients on registered offerings, Exchange Act reporting, and corporate governance, and have a track record of handling substantive securities matters with limited supervision. Bonus points if you have M&A-related securities experience or have worked on both issuer-side and underwriter-side representations.

What you'll do:

• Advise public company clients on Securities Exchange Act of 1934 compliance, including periodic reporting (10-K, 10-Q, 8-K), proxy statements, Section 16 filings, and insider trading policies
• Handle Securities Act of 1933 registered offerings including S-1s, S-3 shelf registrations, shelf takedowns, follow-on offerings, and secondary offerings
• Counsel boards and management on corporate governance matters, fiduciary duties, and NYSE/Nasdaq listing compliance
• Work closely with HSE's active M&A group on deal-related securities work including proxy statements, S-4 registration statements, and due diligence support
• Advise on private placements and exempt offerings including Reg D, Rule 144A, and PIPE transactions
• Support clients on general '34 Act compliance matters including Reg FD, Sarbanes-Oxley, and Section 13 filings
• Collaborate across practice groups — including executive comp and ERISA — on equity plans, Section 16 reporting, and proxy disclosure of executive compensation
