A nationally recognized law firm is seeking a Securities & Capital Markets Associate Attorney to join its Washington, DC office.
This opportunity is ideal for an attorney interested in representing public companies, investment banks, private equity sponsors, issuers, and institutional investors in sophisticated securities and capital markets transactions.
• 3–5 years of corporate securities and capital markets experience gained at a sophisticated law firm
• Experience representing public companies, issuers, investment banks, underwriters, private equity sponsors, and institutional investors
• Experience handling public and private securities offerings, IPOs, follow-on offerings, debt offerings, private placements, and other capital markets transactions
• Experience drafting and reviewing registration statements, prospectuses, offering memoranda, underwriting agreements, purchase agreements, and other securities-related documents
• Experience advising public companies regarding SEC reporting, Securities Act and Exchange Act compliance, corporate governance, disclosure obligations, and stock exchange requirements
• Experience supporting mergers & acquisitions, corporate restructurings, and other strategic transactions is a plus
• Strong drafting, negotiation, analytical, organizational, and communication skills
• Ability to independently manage sophisticated transactions while maintaining significant client interaction
• Excellent academic credentials
• J.D. from an ABA-accredited law school required
• DC bar admission required or ability to become admitted
