Compensation

$260,000 – $390,000+

A highly respected AmLaw 200 firm is seeking a Securities & Capital Markets Associate Attorney to join its New York office.

This opportunity is ideal for an attorney interested in representing public companies, issuers, investment banks, private equity sponsors, institutional investors, and corporate clients in sophisticated securities and capital markets transactions.

Ideal Background

3–5 years of corporate securities and capital markets experience gained at a sophisticated law firm

• Experience representing public companies, issuers, investment banks, underwriters, private equity sponsors, institutional investors, and corporate clients

• Experience handling public and private securities offerings, including IPOs, follow-on offerings, Rule 144A offerings, PIPE transactions, debt offerings, convertible securities, and other capital raising transactions

• Experience advising public companies regarding SEC reporting and disclosure obligations, corporate governance, Securities Act and Exchange Act compliance, and NYSE/Nasdaq listing requirements

• Experience drafting and negotiating registration statements, prospectuses, offering memoranda, underwriting agreements, purchase agreements, and other securities offering documents

• Experience supporting mergers and acquisitions, corporate governance matters, and strategic corporate transactions is preferred

• Strong drafting, analytical, organizational, and communication skills

• Ability to independently manage sophisticated securities transactions while maintaining significant client interaction

• Excellent academic credentials

J.D. from an ABA-accredited law school required

New York bar admission required or ability to become admitted
