Compensation

$310,000 – $390,000+

A premier global law firm is seeking a Securities Regulation & Corporate Governance Associate Attorney to join its Washington, DC office.

This opportunity is ideal for an attorney interested in representing public companies, boards of directors, private equity sponsors, and institutional investors on sophisticated securities law, SEC reporting, and corporate governance matters.

Ideal Background

3–6 years of securities, capital markets, or corporate transactional experience gained at a sophisticated law firm

• Experience advising public companies, boards of directors, executive management teams, and corporate committees on securities law and governance matters

• Experience handling SEC reporting obligations, including Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, and other Exchange Act reporting requirements

• Experience advising clients regarding corporate governance, board and committee matters, disclosure obligations, stock exchange compliance, and shareholder matters

• Experience supporting capital markets transactions, including public offerings, private placements, debt offerings, and other securities transactions

• Experience drafting and reviewing registration statements, proxy materials, governance policies, committee charters, insider trading policies, and other securities-related documents

• Experience advising clients regarding Securities Act and Exchange Act compliance, disclosure controls, and ongoing public company obligations

• Strong drafting, analytical, organizational, and communication skills

• Ability to independently manage sophisticated matters while maintaining significant client interaction

• Excellent academic credentials

J.D. from an ABA-accredited law school required

DC bar admission required or ability to become admitted
