Compensation

$310,000 – $390,000+

A premier global law firm is seeking a Securities Regulation & Corporate Governance Associate Attorney to join its Washington, DC office.

This opportunity is ideal for an attorney interested in representing public companies, boards of directors, special committees, investment banks, and multinational corporations on sophisticated securities law, corporate governance, and SEC compliance matters.

Ideal Background

3–6 years of securities regulation, corporate governance, or capital markets experience gained at a sophisticated law firm

• Experience representing public companies, boards of directors, board committees, investment banks, and multinational corporations

• Experience advising clients regarding SEC reporting obligations, Exchange Act compliance, Securities Act matters, stock exchange listing standards, and corporate governance best practices

• Experience preparing and reviewing Forms 10-K, 10-Q, 8-K, proxy statements, registration statements, Section 16 filings, and other SEC disclosures

• Experience counseling boards and executive management regarding governance matters, fiduciary duties, shareholder proposals, executive compensation disclosures, ESG considerations, and annual meeting preparation

• Experience supporting public offerings, securities transactions, M&A transactions, and other strategic corporate matters is preferred

• Strong drafting, analytical, organizational, and communication skills

• Ability to independently manage sophisticated securities and governance matters while maintaining significant client interaction

• Excellent academic credentials

J.D. from an ABA-accredited law school required

District of Columbia bar admission required or ability to become admitted
