The Office of Corporate Governance supports the board of directors and committees for The Charles Schwab Corporation and its subsidiaries. It is responsible for legal and regulatory matters pertaining to public companies and financial services holding companies, and responsibilities of directors and officers thereof. As a Senior Associate, Board Administration, you will provide organizational and logistical support for meetings of the Board of Directors and Committees of The Charles Schwab Corporation, Charles Schwab Bank, SSB, Charles Schwab Premier Bank, SSB and Charles Schwab Trust Bank. You will also assist with various projects as required in the Office of Corporate Governance.

The position requires utmost attention to detail to ensure that the support processes you coordinate are of high quality and run smoothly, accurately, and efficiently.

What you have

  • Bachelor's degree or equivalent experience as a Legal paralegal, office coordinator, executive assistant, or events planner who successfully plans and executes high touch senior-level meetings and/or events and has a demonstrated commitment to superior customer service with flexibility to address last-minute changes

  • Exceptional organizational skills and attention to detail

  • Strong verbal and written communication skills, a professional demeanor appropriate for seniorlevel interactions, dedication to respond to questions and requests both accurately and quickly and good knowledge of grammar

  • Ability to plan ahead and work independently, consistently follow established procedures, prioritize competing demands and accurately complete multiple projects under strict deadlines and in high pressure situations

  • Excellent computer skills - proficient in Microsoft Office (Outlook, Word, Excel and PowerPoint) and Adobe Acrobat, experience with electronic portals used to distribute meeting materials such as the Diligent Boards Platform and/or ability to learn new programs quickly

  • Demonstrated ability to handle confidential information with professionalism and discretion

What you''ll do:

  • Assists the Director, Corporate Secretary with in-person board and committee meetings where appropriate

  • Assists with the initial review and/or preparation, compilation and upload of board and board committee materials in the Diligent board materials platform

  • Assists with the preparation and review of Governance-related presentations for the applicable Committee(s) and/or Board(s) as needed

  • Serves as a point of contact for the business to connect with the Director, Corporate Secretary and/or Managing Director on Board matters, and to assist with the preparation of draft resolutions and other routine key governance documents for board meetings

  • Assists the Legal department with preparation of annual Director and Officer Questionnaires and Regulation O Surveys

  • Corresponds with board members, executives and business partners on matters related to the board

  • Assists the Director, Corporate Secretary with logistical and administrative support in conjunction with board meetings

  • Manages the system of record(s) of the Office of Corporate Governance and maintains corporate records (electronic and hard copy), archiving and redacting appropriate materials, and updating databases/indices

  • Provides support by managing responses to regulatory exams and inquiries, tracking timelines, coordinating document production, drafting responsive materials and or redacting materials for confidential supervisory information where appropriate

  • Prepares accurate correspondence with proper tone, formatting and grammar and track responses, often needing to gather and assess interrelated information

  • Other requirements as determined by business needs

In addition to the salary range, this role is also eligible for bonus or incentive opportunities.
