This position is a highly experienced individual contributor responsible for driving and enhancing corporate governance processes and supporting Board and executive‑level governance activities. This role serves as a key partner to an internal Securities and Corporate Governance leader, the Chief Legal Officer, Finance, People and Accounting teams and other cross‑functional stakeholders to ensure compliance with corporate governance best practices and regulatory law, including private and public securities law best practices.ResponsibilitiesManage Board/Committee meeting planning and preparations, including assisting in developing related materials (i.e., meeting agendas, minutes, resolutions, etc.)Maintain legal and Board‑related databases and systems (i.e., Diligent Board etc.)Prepare, review and administer D&O questionnaires and Board/Committee evaluationsLead a variety of other governance related items, including governance and compliance‑focused policies and procedures such as insider trading lists and communications, executive and director stock ownership and executive compensation matters.Support tracking of insider stock holdings and communicating with transfer agent, brokers and preparing any related filings/forms, blackout period notifications and trading clearance proceduresPrepare timeline for proxy statement and work with third party vendors for proxy preparation and solicitation process; coordinate with cross‑functional team on disclosure of governance items and executive compensation items for proxy statementCross‑functional interaction at all levels, including senior executives, board members, HR, investor relations and finance teams on corporate and compliance mattersAdditional assistance in M&A and capital markets activities, such as due diligence and related project management tasks as neededLeverage technology tools (Diligent, Adobe Pro, Teams, Microsoft Office, EDGAR, and Workiva) to streamline legal processes and filingsAbility to handle and maintain the confidentiality of highly sensitive information.Education Qualifications4 Year Degree / Bachelor'sExperience QualificationMinimum of eight years' experience as a corporate & securities paralegal for a public company or top law firmAssociates or Bachelors' Degree; Paralegal Certificate a plusRequired Knowledge, Skills or AbilitiesDeep expertise with SEC reporting requirements, Section 16 filings, and corporate governance frameworksProject management skills, specifically strong organizational and planning skills, meticulous attention to detail, ability to efficiently manage rapidly changing priorities, and the ability to effectively advance multiple simultaneous projects under tight timelinesStrong interpersonal skills, with an ability to communicate and collaborate with individuals at all levels inside and outside of the organization in a positive and effective mannerComfortable operating in a fast‑paced, complex workplace, with a keen interest in learning on the job and expanding skill setAble to work independently while showing initiative and exercising good judgmentVersatile, flexible, motivated, and enthusiasticProficiency with CSC entity management, Diligent and Workiva tools preferred#J-18808-Ljbffr
