Senior Corporate & Securities Paralegal | Downtown Austin

A highly respected law firm in downtown Austin is seeking a Senior Corporate & Securities Paralegal to support a busy and sophisticated corporate practice group. This is a key hire for a high-performing team, offering the opportunity to work on complex transactions in a collaborative, deal-driven environment with significant autonomy.

Compensation & Benefits

  • Salary: $100K – $125K DOE

Schedule & Work Environment

  • 37.5-hour workweek
  • Primarily in-office (downtown Austin)
  • Flexible start time (office opens at 7:30 AM)
  • 1–2 remote days/week possible after ~6 months

What You'll Do

  • Support corporate governance and transactional work across the full practice group
  • Assist with M&A, private equity, and venture capital transactions
  • Manage entity formations, corporate structuring, and governance matters
  • Prepare and maintain cap tables, equity records, and corporate minute books
  • Draft resolutions, consents, and shareholder/member documents
  • Handle securities filings and regulatory documentation
  • Coordinate due diligence, data rooms, and closing documentation
  • Manage deal flow across multiple attorneys and matters independently
  • Serve as a key resource for attorneys and clients on corporate matters

What We're Looking For

  • 5+ years of corporate paralegal experience within a law firm (required)
  • Strong background in M&A, securities, and corporate governance
  • Experience supporting multiple attorneys across a practice group
  • Proven ability to work independently and manage competing priorities
  • High level of attention to detail and strong follow-through

Technical Skills

  • iManage, Orion, and data room platforms required
  • Experience with Carta strongly preferred
  • Proficient in Microsoft Office, DocuSign, and legal research tools (Westlaw, LexisNexis)
