The Role: Senior Legal Counsel, Corporate

As Senior Legal Counsel, Corporate, you will provide legal guidance for the company's financing activities, capital markets transactions, strategic investments, mergers and acquisitions, and other corporate initiatives. You will partner closely with Finance, Treasury, Corporate Development, and executive leadership to help structure complex transactions and manage legal risk. This role requires sound judgment, strong business partnership, and the ability to translate complex legal issues into practical advice. You will also oversee outside counsel and help improve legal processes that support the company's continued growth.

What You'll Do

  • Lead legal support for capital markets and financing transactions, including debt offerings, private placements, credit facilities, refinancings, and treasury-related matters.
  • Support debt and equity securities offerings, including registered and private transactions.
  • Partner with Finance, Treasury, Accounting, Tax, Corporate Development, and other business teams to structure and execute complex transactions.
  • Manage legal workstreams for mergers and acquisitions, joint ventures, strategic investments, and other corporate initiatives.
  • Coordinate due diligence, negotiations, transaction documents, approvals, closings, and post-closing obligations.
  • Direct outside counsel, establish legal strategy, review work product, and manage timelines and costs.
  • Develop legal playbooks, templates, and approval processes that improve consistency and efficiency.
  • Advise internal stakeholders on securities law matters related to financing activities and public company readiness.
  • Identify legal risks and provide practical recommendations that support business objectives.

What You'll Bring

Required

  • J.D. from an accredited law school.
  • Active bar membership in at least one U.S. jurisdiction in good standing.
  • 5–10 years of relevant legal experience in a leading law firm, an in-house legal department, or both.
  • Experience supporting capital markets, corporate finance, structured finance, securitizations, private placements, leveraged finance, or similar complex transactions.
  • Experience managing outside counsel and coordinating cross-functional transaction teams.
  • Strong drafting, negotiation, analytical, and communication skills.
  • Ability to manage multiple complex matters with limited supervision.

Preferred

  • Experience supporting data center, infrastructure, real estate, technology, or telecommunications businesses.
  • Experience with public company debt or equity offerings.
  • Familiarity with rating agencies, trustees, lenders, underwriters, placement agents, or investor diligence processes.
  • Prior in-house legal experience.
  • Experience supporting board or executive approval processes for complex transactions.
