    Description

    Senior Associate, Paralegal (onsite 5 days)Diversified holding company and asset management platform is seeking an experienced and highly accomplished Senior Paralegal to join its in-house Legal team. This is a senior-level role responsible for independently managing complex legal matters across investment entities, corporate subsidiaries, and operating companies. The ideal candidate will bring deep expertise in contracts, regulatory compliance, corporate governance, and legal operations across a sophisticated, multi-entity environment.This position is suited for a self-directed legal professional who operates with minimal oversight, exercises sound judgment across complex and sensitive matters, and brings a strategic perspective to legal operations in a fast-paced, multi-business-line environment.Responsibilities Contract & Transaction Support Draft and review standard agreements including governance documents, NDAs, vendor contracts, service agreements, and subscription documents, in coordination with supervising attorneys.Support investment and corporate transactions, including coordinating due diligence, preparing and managing signature packets, closing checklists, and maintaining comprehensive transaction files.Corporate Governance & Entity Management Manage and maintain corporate records for a 600+ multi-entity holding company structure, including subsidiaries, investment vehicles, and LLCs, ensuring accuracy and compliance across all jurisdictions.Assist with full entity life cycle, including formation, qualification, maintenance, and dissolution across multiple states and structure types.Prepare and file annual reports, board and member resolutions, organizational documents, and other governance filings; help identify and flag compliance gaps.Regulatory & Compliance Support Support compliance functions related to asset management regulations, including SEC requirements, state filings, Census Reporting, Form ADV updates, and fund-related disclosures; help track regulatory deadlines and requirements across entities.Help with KYC/AML review processes and data gathering.Maintain legal calendars, UCC deadlines, and filing trackers across multiple entities; proactively flag risks associated with regulatory and contractual deadlines.Legal Operations & Documentation Review, process, and track legal invoices through e-billing platforms; ensure proper matter coding and adherence to billing guidelines.Maintain legal documents, contracts, restricted lists, and investment records; support consistent document management practices across the Legal team.Maintain legal databases, SharePoint repositories, and contract management systems with high accuracy; support organizational frameworks that promote team efficiency and audit readiness.Coordinate with internal stakeholders across Finance, Compliance, Investment teams, Accounting, HR, and Operations, as well as across subsidiaries, affiliates, and external counsel.Qualifications 10+ years of experience as a Paralegal in a holding company, law firm, asset management, investment management, private equity, or similar finance-driven environment. Significant in-house experience is strongly preferred, with a demonstrated ability to work independently and manage complex matters with minimal direction.Proven track record managing contracts, complex transactions, and multi-entity corporate governance structures with a high degree of autonomy and precision.Proficiency with legal technology tools, document management systems, e-billing platforms, sanctions screening tools, and AML/KYC platforms; demonstrated ability to leverage technology and AI tools to drive efficiency.Exceptional attention to detail and organizational skills; demonstrated ability to independently manage a high volume of complex matters, competing deadlines, and cross-functional priorities.Proven ability to exercise independent judgment, navigate ambiguity, and handle highly sensitive and confidential information with the utmost discretion.Polished written and verbal communication skills, with the ability to interface effectively with senior leadership, outside counsel, and cross-functional teams.Advanced proficiency in Microsoft Office (Word, Excel, Outlook) and SharePoint; hands-on experience with compliance and document management systems; comfort with AI-powered legal tools strongly preferred.Notary public certification preferred but not required.Undergraduate degree from accredited College/University requiredCompensation : $150-185K+ base salary (commensurate with experience and location) plus discretionary bonus and competitive benefitsLocation : onsite in New York, NY, Greenwich, CT, Dallas, TX, or Chicago, IL#J-18808-Ljbffr
