A premier national law firm is seeking a Senior Private Equity & Mergers & Acquisitions Associate Attorney to join its Chicago office.

This opportunity is ideal for an attorney interested in representing private equity sponsors, portfolio companies, emerging managers, and strategic investors in sophisticated middle-market and upper-middle-market transactions.

Ideal Background

6+ years of private equity, mergers & acquisitions, or corporate transactional experience gained at a sophisticated law firm

• Experience representing private equity sponsors, portfolio companies, strategic buyers and sellers, independent sponsors, and institutional investors

• Experience leading leveraged buyouts, acquisitions, dispositions, recapitalizations, growth equity investments, minority investments, and going-private transactions

• Experience drafting and negotiating purchase agreements, merger agreements, equity investment documents, operating agreements, and related transaction documentation

• Experience managing transaction teams, coordinating due diligence, and overseeing transactions from letter of intent through closing

• Experience advising clients regarding corporate governance, entity formation, and ongoing business matters

• Experience with private equity fund formation, venture capital, growth equity, mezzanine funds, real estate funds, or emerging manager representations is preferred

• Strong drafting, negotiation, analytical, organizational, and communication skills

• Ability to independently lead sophisticated transactions while maintaining significant client interaction

• Excellent academic credentials

J.D. from an ABA-accredited law school required

Illinois bar admission required or ability to become admitted
