Summary



The Freeman Company (“TFC”) is seeking a Senior Manager to join its rapidly expanding Corporate Development team — a function being scaled as a defining strategic priority for the company’s next phase of growth. As a multi-billion-dollar organization with the scale, capital, and ambition to become a best-in-class acquirer, TFC is investing in the infrastructure and talent needed to pursue an active M&A agenda. This is an opportunity for a seasoned M&A professional to step into a senior, highly visible role and help build the processes, frameworks, and culture of a function that will be central to TFC’s long-term inorganic growth strategy.


The Senior Manager will own diligence depth and integration readiness across TFC’s M&A activity. This is a hands-on, execution-focused role for someone who thrives at the intersection of deal complexity and cross-functional leadership: managing multi-workstream diligence processes, surfacing integration risks and synergy opportunities early, and translating those insights into pragmatic, actionable plans that operating teams can execute against. The ideal candidate brings deep experience from investment banking, private equity, or M&A advisory — and carries that rigor and pace into a corporate environment.


The Senior Manager will report to the Vice President of Corporate Development and work closely with operating leaders, Finance, Legal, and external advisors to ensure both deal certainty and post-close value capture. This role also contributes to deal sourcing and relationship development, leveraging diligence insights and pipeline knowledge to sharpen TFC’s investment theses and advance high-conviction opportunities. This role is eligible to work a hyrbid schedule based out of our Dallas, TX Headquarters.


Essential Duties & Responsibilities



+ Manages and coordinates complex, multi-workstream M&A due diligence processes from kickoff through closing, ensuring comprehensive coverage, clear ownership, and efficient execution

+ Contributes to post-closing integration planning, working alongside business operators to build integration plans and tracking frameworks that ensure Day 1 readiness, synergy realization, and operational continuity

+ Surfaces integration risks, synergy opportunities, and cross-functional execution requirements before they become deal-phase issues

+ Partners with operating leaders, Finance, and Legal to translate diligence findings into integration plans that cross-functional teams can execute against

+ Supports deal sourcing, relationship development, and strategy development, leveraging diligence insights and pipeline knowledge to advance and prioritize high-conviction opportunities

+ Key liaison between Corporate Development and functional stakeholders throughout the deal and integration lifecycle

+ Supports and mentors junior Corporate Development team members


M&A Execution & Diligence Management


+ Owns end-to-end diligence workstream management for active transactions, coordinating internal functional teams, external advisors, and data room processes

+ Develops and maintains diligence frameworks, project trackers, and work plans that ensure thorough coverage across commercial, operational, financial, legal, and IT tracks

+ Proactively engages functional subject matter experts to surface integration risks, synergies, and execution dependencies early in the diligence process

+ Synthesizes findings across all diligence tracks into clear, structured summaries and risk assessments for senior leadership and Investment Committee review

+ Support development and negotiation of LOIs, term sheets, and transaction documents

+ Maintains documentation, workstream logs, and version control throughout the deal process


Post-Closing Integration


+ Leads integration planning during diligence to ensure Day 1 requirements, integration dependencies, and synergy capture opportunities are identified and sequenced well in advance of close

+ Builds and maintains detailed integration plans, workstream charters, and milestone trackers in partnership with operating leaders across the enterprise

+ Drives cross-functional integration execution post-close, connecting Corporate Development and operating teams

+ Develops/tracks integration KPIs, synergy realization metrics, and value capture progress; prepares regular reporting for leadership review

+ Proactively identifies integration risks and blockers, facilitating escalation and resolution across workstreams

+ Captures lessons learned and contributes to the ongoing refinement of integration playbooks


Deal Sourcing & Strategy Development


+ Supports VP Corporate Development in deal sourcing and relationship development

+ Leverages diligence insights and pipeline experience to sharpen investment theses and inform strategic prioritization of inorganic opportunities

+ Conducts market research and competitive analysis to support refinement of TFC’s M&A strategy

+ Prepares materials for senior leadership and Investment Committee


Cross-Functional Partnership & Stakeholder Management


+ Serves as the primary M&A and integration POC for key functional leaders

+ Facilitates alignment sessions with operating teams to ensure integration requirements are understood, properly resourced, and appropriately sequenced

+ Communicates deal status, integration progress, and key risks to senior leadership

+ Support Investment Committee preparation


Education & Experience



+ Bachelor’s degree in Finance, Economics, Business Administration, Accounting, or related field; MBA strongly preferred

+ 6-8 years of relevant experience; prior experience in investment banking, private equity, or M&A advisory is required — corporate development experience in a high-volume acquirer is a strong plus

+ Proven track record managing complex M&A diligence workstreams and post-closing integration across multiple simultaneous transactions

+ Deep familiarity with integration planning methodologies, including Day 1 readiness, synergy tracking, workstream governance, and cross-functional change management

+ Experience partnering directly with operating leaders across deal execution and integration — able to translate strategic intent into practical, executable plans

+ Strong financial modeling and analytical skills; advanced Excel proficiency required; PowerPoint required for presentation and stakeholder materials

+ Demonstrated ability to manage complexity and competing priorities across multiple workstreams in a fast-paced, ambiguous deal environment

+ Exceptional written and verbal communication skills; ability to distill complex diligence findings and integration considerations into clear, executive-ready materials
