Client is seeking a contract attorney with general transactional experience to support a broad range of financing, acquisition, and other strategic transactions. This role will work closely with attorneys and business partners by assisting with transaction execution, reviewing, and negotiating amendments and related documentation, maintaining transaction records, and supporting various
legal and operational projects.

Your Impact
You will support attorneys and business stakeholders on a variety of transactional matters, including:
• Assisting with the review, drafting, negotiation, and execution of amendments, consents, and other transaction-related documents
• Supporting financing, acquisition, servicing, and other strategic transactions throughout the transaction lifecycle
• Reviewing transaction documents and helping identify legal and business issues for escalation to lead counsel
• Assisting with due diligence, document organization, closing coordination, and post-closing activities
• Managing and maintaining transaction records, databases, and document repositories to ensure accurate tracking and retention of transactional materials
• Supporting legal and operational projects designed to improve transaction management processes and document administration
• Collaborating with attorneys, business partners, and external counsel to facilitate efficient transaction execution
• Conducting legal research and preparing summaries, memoranda, and other supporting materials as needed
Qualifications
• JD and active bar membership in good standing
• 3+ years of transactional experience at a law firm, financial institution, or in-house legal department
• Experience reviewing, drafting, and negotiating transactional documents, including loan and security agreements, amendments and ancillary agreements
• General experience in one or more of the following areas: commercial transactions, finance, corporate, real estate, lending, servicing, or other transactional practices
• Strong organizational skills and attention to detail
• Ability to manage multiple assignments and work effectively in a fast-paced environment
• Strong written and verbal communication skills
